Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 4, 2019, CSX Corporation (the “Company”) granted 82,169 stock options to Kevin S. Boone, Executive Vice and Chief Financial Officer, and 70,431 stock options to Nathan D. Goldman, Executive Vice President and Chief Legal Officer, to further align their equity award incentives with their roles. The options have an exercise price of $70.45, vest on December 4, 2022, and expire if unexercised on December 3, 2029.
