Condition.
On October 20, 2022, CapStar Financial Holdings, Inc. (the
“Company”) issued an earnings release announcing its financial
results for the third quarter ended September 30, 2022. A copy of
the earnings release is furnished as Exhibit 99.1 to this Current
Report on Form 8-K (this “Report”) and is incorporated herein by
reference.

The information disclosed under Item 2.02 of this Report is

The Company will conduct a conference call at 9:00 a.m. (Central
Time) on October 21, 2022 to discuss its financial results for the
