Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 9, 2019, Jeff Townsend, Executive Vice President and Chief of Innovation of Cerner Corporation (the "Company"), notified the Company that he will retire by the end of the year, following three decades of helping drive health care innovation. Mr. Townsend's decision to retire did not involve any disagreement with the Company on any matter relating to its operations, policies or practices. Upon his departure, Mr. Townsend will continue to serve in an advisory role.
