Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

As previously reported in our Current Report on Form 8-K filed with the U.S. Securities and Exchange Commission on April 3, 2024, the board of directors
(the “Board”) of Cenntro Inc. (the “Company”) accepted the resignation of Stephen Markscheid as independent director of the Board effective April 3, 2024. Mr. Markscheid’s resignation was not a result of any disagreement with the Company on any matter relating to its operations, policies, or practices, or to any issues regarding its accounting policies or
practices.
Mr. Markscheid was an independent director of the Company and served on the compensation, audit and nominating committees of the Board.
Due to the vacancy left by Mr. Markscheid, on June 5, 2025, the nominating committee of the Board did approve and the Board did rectify the vacancy with the
appointment Dr. Yi Zeng, an independent director of the Board as a member of the audit committee of the Board, effective April 3, 2024.
