Results of Operations and Financial Condition.

On July 24, 2019, Cara Therapeutics, Inc. (the “Company”) filed with the Securities and Exchange Commission (the “SEC”) a preliminary
prospectus supplement pursuant to Rule 424(b) of the Securities Act of 1933, as amended (the “Securities Act”), in which the Company disclosed that, as of June 30, 2019, it had approximately $135.6 million of cash, cash
equivalents and marketable securities.
The information in this Item 2.02 is being furnished and shall not be deemed “filed” for the purposes of
