Explanation of Responses:
(1)  Each restricted stock unit ("RSU") represents a contingent right to receive one share of the issuer's Common Stock upon settlement for no consideration. The RSUs will vest as to 25% of the award on September 5, 2020, and then 6.25% of the RSUs will vest quarterly thereafter on each of December 5, March 5, June 5, and September 5 of a given calendar year, such that the RSUs are fully vested on September 5, 2023, subject to the Reporting Person's provision of services to the issuer on each vesting date. Shares of the issuer's Common Stock will be delivered to the Reporting Person following vesting.
(2)  The options will vest as to 25% of the total shares on July 15, 2020, and then 2.0833% of the shares will vest monthly thereafter such that the option is fully vested on July 15, 2023, subject to the Reporting Person's provision of service to the issuer on each vesting date.
