Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 28, 2021, Phung Ngo-Burns, NexTier Oilfield Solutions Inc.’s (the “Company”) Chief Accounting Officer and Treasurer advised the Company that she would be leaving the Company to pursue other opportunities, with her final day at the Company being on or about January 7, 2022. Mrs. Ngo-Burns’s decision was not the result of any disagreement with the Company but rather a desire to pursue other interests and business leadership opportunities. The Company thanks Mrs. Ngo-Burns for nearly five years of exemplary service to the Company, including managing through the Company’s initial public offering in 2017, several M&A integrations, as well as successful Enterprise Resource Planning software deployments through the years. The Company wishes Mrs. Ngo-Burns the best in her future endeavors.
