ITEM 4.01 CHANGES IN REGISTRANT’S CERTIFYING ACCOUNTANT.
On October 31, 2019, Fruci & Associates II, PLLC
(“Fruci PLLC”) resigned (‘Termination”) as the independent registered public accounting firm of
Artificial Intelligence Technology Solutions Inc. (the “Registrant”). The Board of Directors of the Registrant
approved and ratified the Termination and the engagement (“Engagement”) of LJ Soldinger & Associates LLC
(“LJ Soldinger”) as the Registrant’s new independent registered public accounting firm. The Engagement is
effective immediately.
From May 13, 2019 through October 31, 2019, there were (i) no disagreements (as described in Item 304(a)(1)(iv)
of Regulation S-K and the related instructions) between the Registrant and Fruci PLLC on any matter of accounting principles or
practices, financial statement disclosure, or auditing scope or procedure.
During the period from May 13, 2019 and through October 31, 2019, the Registrant did
not consult with LJ Soldinger with respect to any matter whatsoever including without limitation with respect to any of (i)
the application of accounting principles to a specified transaction, either completed or proposed; (ii) the type of audit
opinion that might be rendered on the Registrant’s financial statements; or (iii) any matter that was either the
subject of a disagreement (as defined in Item 304(a)(1)(iv) of Regulation S-K) or an event of the type described in Item
304(a)(1)(v) of Regulation S-K.
The Registrant requested from Fruci PLLC that it furnish a letter addressed to the
Commission stating whether or not the independent auditor agrees with the above statements. A copy of Fruci PLLC’s
letter dated November 1, 2019, is filed as Exhibit 16.1 hereto.
