Explanation of Responses:
( 1)  On April 1, 2009, reporting person was granted an option to buy 1,200,000 shares of Common Stock under the Issuer's 2003 Stock Plan. All of the shares subject to the option vest and become exercisable upon satisfaction of certain performance milestones as set forth in the employment agreement between the Issuer and the reporting person effective April 1, 2009. On July 20, 2011, a performance milestone relating to 150,000 of the 1,200,000 option shares was deemed to have been met and such 150,000 option shares became vested.
