Explanation of Responses:
(1)  The option represents, for Bruno Wu, an obligation to sell the underlying shares of common stock under a Stock Option Agreement entered into with David Seaburg on November 21, 2017. The option will vest over two years in eight equal installments. 125,000 shares shall vest on the last day of each quarter, with the first 125,000 shares vesting on December 31, 2017. Mr. Wu owns these underlying shares of common stock through Wecast Media Investment Management Limited, an entity controlled by Mr. Wu.
