Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On November 1, 2018, the Compensation Committee of the Board of Directors of Opiant Pharmaceuticals, Inc. recommended, and the Board of Directors approved, an annual retainer of $50,000 for the position of the lead independent director of the Board of Directors. The annual retainer was approved in recognition of the additional services required by the lead independent director. The annual retainer will be pro-rated for the remainder of 2018 and thereafter will be paid $12,500 quarterly.
