Options
Our board of directors adopted
the 2009 Stock Option and Grant Plan, or the 2009 Plan, in July 2009. The 2009 Plan was terminated in connection with our IPO, and accordingly, no shares are available for issuance under this plan. The 2009 Plan continues to govern outstanding
awards granted thereunder.
Our 2014 Stock Option and Incentive Plan, or the 2014 Plan, serves as the successor to our 2009 Plan. Pursuant to the
terms of the 2014 Plan, the number of shares reserved for issuance under the 2014 Plan increased by 5.2 million and 4.8 million shares on January 1, 2018 and 2017, respectively. As of December 31, 2017, we had
8.0 million shares of common stock available for future grants under the 2014 Plan.
On May 6, 2016, the compensation committee of our board of
directors granted equity awards representing 1.2 million shares. These awards were granted outside of the 2014 Plan pursuant to an exemption provided for employment inducement awards within the meaning of Section 303A.08 of the
New York Stock Exchange Listed Company Manual and accordingly did not require approval from our stockholders.
Restricted Stock Units
As of December 31, 2017, we had 5.827 million shares of our common stock subject to outstanding restricted stock units under our 2014 Plan.
Employee Stock Purchase Plan
Under
the Employee Stock Purchase Plan, or ESPP, eligible employees are granted options to purchase shares of our common stock through payroll deductions. The ESPP provides for eighteen-month offering periods, which include three
six-month
purchase periods. At the end of each purchase period, employees are able to purchase shares at 85% of the lower of the fair market value of our common stock at the beginning of an offering period or the
fair market value of our common stock at the end of the purchase period.
As of December 31, 2017, 0.7 million shares of common stock were
purchased under the ESPP. As of December 31, 2017, 3.6 million shares of common stock were available for issuance under the ESPP.

Anti-Takeover Provisions
The provisions of Delaware law, our Restated Certificate and our Amended and Restated Bylaws, which are summarized below, may have the effect of delaying,
deferring, or discouraging another person from acquiring control of our company. They are also designed, in part, to encourage persons seeking to acquire control of us to negotiate first with our board of directors. We believe that the benefits of
increased protection of our potential ability to negotiate with an unfriendly or unsolicited acquirer outweigh the disadvantages of discouraging a proposal to acquire us because negotiation of these proposals could result in an improvement of their
terms.
Delaware Law
We are governed by the
provisions of Section 203 of the Delaware General Corporation Law. In general, Section 203 prohibits a public Delaware corporation from engaging in a business combination with an interested stockholder for a period
of three years after the date of the transaction in which the person became an interested stockholder, unless the business combination is approved in a prescribed manner. A business combination includes mergers, asset sales, or other
transactions resulting in a financial benefit to the stockholder. An interested stockholder is a person who, together with affiliates and associates, owns, or within three years did own, 15% or more of the corporations outstanding
voting stock. These provisions may have the effect of delaying, deferring, or preventing a change in our control.
Certificate of Incorporation and
Bylaw Provisions
Our Restated Certificate and our Amended and Restated Bylaws include a number of provisions that could deter hostile takeovers,
delay or prevent changes in control of our board of directors or management team, or discourage lawsuits against our directors or officers, including the following:

Board of Directors Vacancies
. Our Restated Certificate and Amended and Restated Bylaws authorize only our board of directors to fill vacant directorships, including newly created seats. In addition, the number of
directors constituting our board of directors is permitted to be set only by a resolution adopted by a majority vote of our entire board of directors. These provisions would prevent a stockholder from increasing the size of our board of directors
and then gaining control of our board of directors by filling the resulting vacancies with its own nominees. This makes it more difficult to change the composition of our board of directors and promotes continuity of management.

Classified Board
. Our Restated Certificate and Amended and Restated Bylaws provide that our board of directors is classified into three classes of directors. A third party may be discouraged from making a tender
offer or otherwise attempting to obtain control of us as it is more difficult and time consuming for stockholders to replace a majority of the directors on a classified board of directors.

Stockholder Action; Special Meeting of Stockholders
. Our Restated Certificate provides that our stockholders may not take action by written consent, but may only take action at annual or special meetings of our
stockholders. As a result, a holder controlling a majority of our capital stock would not be able to amend our Amended and Restated Bylaws or remove directors without holding a meeting of our stockholders called in accordance with our Amended and
Restated Bylaws. Our Amended and Restated Bylaws further provide that special meetings of our stockholders may be called only by a majority of our board of directors, the Chair of our board of directors, or our Chief Executive Officer (pursuant to a
resolution approved by the affirmative vote of a majority of the Directors then in office), therefore prohibiting a stockholder from calling a special meeting. These provisions might delay the ability of our stockholders to force consideration of a
proposal or for stockholders controlling a majority of our capital stock to take any action, including the removal of directors.

Advance Notice Requirements for Stockholder Proposals and Director Nominations
. Our Amended and Restated
Bylaws provide advance notice procedures for stockholders seeking to bring business before our annual meeting of stockholders or to nominate candidates for election as directors at our annual meeting of stockholders. Our Amended and Restated Bylaws
also specify certain requirements regarding the form and content of a stockholders notice. These provisions might preclude our stockholders from bringing matters before our annual meeting of stockholders or from making nominations for
directors at our annual meeting of

stockholders if the proper procedures are not followed. These provisions may also discourage or deter a potential acquirer from conducting a solicitation of proxies to elect the acquirers
own slate of directors or otherwise attempting to obtain control of our company.

|
No Cumulative Voting
. The Delaware General Corporation Law provides that stockholders are not entitled to cumulate votes in the election of directors unless a corporations certificate of incorporation
provides otherwise. Our Restated Certificate does not provide for cumulative voting.
|
|
|
|
Directors Removed Only for Cause
. Our Restated Certificate provides that stockholders may remove directors only for cause and only by the affirmative vote of the holders of 75% or more of the outstanding shares
of capital stock then entitled to vote at an election of directors.
|
|
|
|
Amendment of Charter Provisions
. Any amendment of the above provisions in our Restated Certificate requires approval by holders of at least seventy-five percent (75%) of our then outstanding common stock.
|
|
|
|
Issuance of Undesignated Preferred Stock
. Our board of directors has the authority, without further action by the stockholders, to issue up to 10,000,000 shares of undesignated preferred stock with rights and
preferences, including voting rights, designated from time to time by our board of directors that may be senior to our common stock. The existence of authorized but unissued shares of preferred stock enables our board of directors to render more
difficult or to discourage an attempt to obtain control of us by means of a merger, tender offer, proxy contest, or other means.

|
Exclusive Jurisdiction for Certain Actions.
Our Restated Certificate and bylaws, provide that, unless we consent in writing to the selection of an alternative forum, the Court of Chancery of the State of Delaware
shall be the sole and exclusive forum for (A) any derivative action or proceeding brought on our behalf, (B) any action asserting a claim of breach of a fiduciary duty owed by any of our directors, officers or other employees to us or our
stockholders, (C) any action asserting a claim arising pursuant to any provision of the Delaware General Corporation Law, our Restated Certificate or our bylaws, or (D) any action asserting a claim against us governed by the internal
affairs doctrine. Although we believe this provision benefits us by providing increased consistency in the application of Delaware law in the types of lawsuits to which it applies, the provision may have the effect of discouraging lawsuits against
our directors and officers. The enforceability of similar exclusive forum provisions in other companies certificates of incorporation has been challenged in legal proceedings, and it is possible that a court could rule that this provision in
our Restated Certificate is inapplicable or unenforceable.

Covenants
Existence
. Except as described
under Merger, Consolidation or Sale of Assets, the indentures require us to do or cause to be done all things necessary to preserve and keep in full force and effect our existence, rights and franchises. However, the indentures do
not require us to preserve any right or franchise if we determine that any right or franchise is no longer desirable in the conduct of our business.
Payment of taxes and other claims
. The indentures require us to pay, discharge or cause to be paid or discharged, before they become delinquent

The indentures provide that holders of debt securities of any series may not institute any proceedings, judicial
or otherwise, with respect to such indenture or for any remedy under the indenture, unless the trustee fails to act for a period of 60 days after the trustee has received a written request to institute proceedings in respect of an event of default
from the holders of 25% or more in principal amount of the outstanding debt securities of such series, as well as an offer of indemnity reasonably satisfactory to the trustee. However, this provision will not prevent any holder of debt securities

The indentures provide that, subject to provisions in each indenture relating to its duties in the case of a default, a trustee has no obligation to exercise
