Issue and Redemption of B Shares

The Company announces certain transactions which have occurred in relation to the Return of Value to the Company's shareholders of GBP10.15 per Ordinary Share, which was implemented by means of a B Share Scheme following completion of the acquisition by the Company of the Schneider Electric Software Business on 1 March 2018 in accordance with the terms of the Merger Agreement ("Completion").

Defined terms used in this announcement shall have the meaning given to them in the Prospectus

published by the Company on 5 September 2017. All references to time are to the time in London,

England.

With effect from Completion, 64,037,660 B Shares were issued by the Company with the following B Shares issued to certain of the Company's PDMRs:
