EGM Statement

An Extraordinary General Meeting of Profile Media Group Plc was held today to
approve resolutions relating to the Placing and Open Offer of approximately
265,801,982 New Ordinary Shares at 1p per share, and other matters. The Placing
and Open Offer was subject to the approval of the shareholders of Profile Media
Group Plc at the Extraordinary General Meeting. The shareholders voted in
favour of all the resolutions presented to the Extraordinary General Meeting.

As at 30 December 2003, 20,681,747 New Ordinary Shares had been taken up under
the Open Offer. A further announcement regarding the final take-up of the Open
Offer will be made on Friday, 2 January 2004.
