ASDA directors have a fiduciary duty to ASDA shareholders. Therefore they have to aknowledge that SEO has lost a patent case against BPRG and the way the case went and how SEO behaved before and in court. They also have to analyse the connection of the patent SEO recently lost with the tray lidding patent. They have to study what was SEO doing before they were approached by BPRG, look into the eyes of Balchin and ask him where the tray lidding idea came from and that explanation has to be extremely satisfactory to the point where they are sure it will convince an experienced judge. When asking those questions it would be useful for ASDA to bring an experienced solicitor and a barrister with them as well as a few witness.
