To comment on a few posts above,
We'll have to wait and see as to whether the directors will split their salaries between the two companies. If the directors were that honourable, would they have awarded themselves the large share options in July? Put yourself in their shoes, what would you be trying to negotiate? I know I'd be after more money.
Also, don't forget that the management now have TWO jobs. This means that they'll be spending less time working for you, the shareholders. Is this what you want? What happens if Ramco's exploration plans don't develop as hoped? Will the management start drifting and spending more time keeping the Oil Services going to keep their pay packets arriving? Have a look at Medoro resources for an example of a company with management with split interests.
If the Oil Services float for £25m, why is that good for you the shareholders? Based on that, you'd have just received less than half the market value for an asset that was yours. Even if you were then bought out, let's say by a paper deal, you'd end up owning less of what you owned last week. I still believe that the deal that was struck was better for the management than the shareholders.
I can't see the new Ramco, once 7H is sold, being a take over target. To become one, they'd either have to discover an elephant or have some production. As the former is highly unlikely, and any hint of an elephant would have majors sniffing round for JV's and the latter is years away, i can't see an offer being made. There are very few Exploration plays that are bought out, it's easier for larger companies to JV acreage where their bigger financial clout can cover, or raise the finance for, exploration and development of production.
Ramco is still not yet debt free. Until they sell 7H, there is £50m or so attached to the gas. The fear that I have is, considering the size of the loan attached to the gas and the work that will have to be done to develop the field, Ramco won't get much, if any, spare cash after the sale. This will then mean a fund raising in the new year.
