Total Voting Rights

In conformity with the Transparency Directive's transitional provision 6, Northern would like to notify the market of the following:

As of 22 December 2006 the Company's capital consists of 70,219,851 ordinary shares of 5 pence each with voting rights. Northern does not hold shares in Treasury. Therefore, the total number of voting rights in Northern is 70,219,851.

The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the ordinary shares of Northern under the FSA's Disclosure and Transparency Rules.
