The equity line of credit agreement is for £4,500,000 and allows for drawdowns
to a maximum of £62,500 at any one time. Each drawdown is subject to
documentation and certain conditions precedent including, the continued trading
of the Company's shares on AIM, there being no material adverse change in the
Company's position or prospects and the allotment of shares not being precluded
under any law. When the Company requires funding, Cornell will be advised of the
requirement in the form of a closing certificate, together with a legal opinion
from the Company's lawyers which sets out the quantum and price for the shares.
Price is determined by the lowest daily market price in the five business days
following the Company's notice to Cornell. Cornell is required to submit a share
application form to the Company showing proof of the purchase price and
calculations determining the total number of shares to be issued. The Board
anticipates that it will take approximately seven days to complete each
drawdown."

It explains where the billion shares are going and is not all bad news.
