Further to the announcement of 30 November 2006 in connection with the proposed
placing of up to 35,151,515 new ordinary shares in the capital of the Company
(the "Placing"), the Board of D1 Oils plc (the "Company") today announces that
the resolutions, in connection with the Placing, were duly passed, by the
requisite majorities, at the extraordinary general meeting of the Company, held
at 11.00am this morning.
Application has been made for 29,838,848 new ordinary shares of 1p each
(comprising 29,484,848 new ordinary shares conditionally placed on 30 November
2006 and 354,000 new ordinary shares conditionally placed pursuant to the
over-allotment option granted by the Company to Dresdner Kleinwort) to be
admitted to trading on AIM and dealings are expected to commence on 29 December
2006.
