Warrants and Options Exercise


Central African Mining & Exploration Company Plc, the AIM listed fully
integrated exploration, mining, trading and investment company, has been
notified that an aggregate of 37,029,167 warrants and options have been
exercised. The total number of options being exercised is 17,600,000 at prices
between 1p and 5p and the number of warrants being exercised is 19,429,167
between 0.1p and 5p. As a result of this exercise the Company is raising
£1,003,992.



Among the warrants and options being exercised, the directors have exercised the
following:


• Andrew Groves: 2,000,000 options at 5p and 2,000,000 options at 1p

• Phil Edmonds: 2,000,000 options at 5p and 2,000,000 options at 1p

• Rehman Hassim: 1,000,000 options at 5p, 1,000,000 options at 1p and
1,000,000 warrants at 0.1p

• John Anthony: 1,000,000 options at 5p and 1,000,000 options at 1p

• Russell Grant: 2,000,000 options at 5p, 2,000,000 options at 1p,
1,000,000 warrants at 5p and 5,000,000 warrants at 1p


Accordingly, application has been made for the admission of 37,029,167 new
ordinary shares to trading on AIM. The new ordinary shares will rank pari passu
with the existing ordinary shares of the Company and dealings in the new
ordinary shares are expected to commence on 6 January 2006. Following the
admission, the total number of shares in issue will be 630,239,802.

Following the warrant and option exercises referred to above, the directors'
respective shareholdings in the Company will be:
