Pinetree Capital Ltd. today acquired ownership of two million common shares of AMI Resources Inc. and two million share purchase warrants (each warrant entitling the holder thereof to acquire one additional common share at an exercise price of 40 cents until Dec. 21, 2008). In the event that the warrants are fully exercised, these holdings represent approximately 12.9 per cent of the total issued and outstanding common shares of AMI as of Dec. 21, 2006, calculated on a partially diluted basis assuming the exercise of warrants only. As a result of this transaction, Pinetree and its joint actors held, as at Dec. 21, 2006, a total of two million common shares of AMI and rights to acquire an aggregate of four million common shares of AMI upon exercise of convertible securities, including the warrants. Of these totals, Pinetree holds only the two million common shares and the warrants directly. If Pinetree and its joint actors were to exercise all of these convertible securities, their combined ownership would represent a total of six million common shares of AMI, or approximately 18.2 per cent of such shares outstanding as of Dec. 21, 2006, calculated on a partially diluted basis assuming the exercise of the convertible securities only.
