Adie - you forgot this resolution which immediately precedes the one you have quoted:

"Special Business at the AGM

Resolution 7 – Authority to allot shares

Resolution 7 gives the Directors authority to allot up to 44,534,458 Ordinary Shares in the Company, representing two thirds of the issued share capital of the Company. Save for any options under the share option schemes and Deed of Warrant grants, the Directors have no present intention of exercising the authority conferred by this resolution."

Resolution 8 refers only to disapplication of pre-emption rights - i.e. the number of shares they can issue before having to offer a rights issue/open offer to shareholders. They don't quote the total figure, but I would guestimate about 25 million shares.

So they could, if they wished, issue all 44.5 million shares for which they currently have authority - provided that approx 20 million of them were offered to shareholders first, in proportion to their existing holdings, by way of a rights issue or open offer.
