Just an FYI: Apparently there was a Convertible Promissory Note Purchase Agreement.

Usually these convertible notes are not good. More dilution.

There was no reason to have one in the first place.

It doesn't really matter if he gives news. I'm sure he will. All it will be is a pump. "How great things are going." "What he wants to do." It won't do anything. He has nothing.

Read the depositions. This guy is in financial trouble. He's in lawsuit trouble. He's in business trouble.

He is waiting on winning this lawsuit to "start over." I hope he doesn't. I think Fluent has a stronger counter-suit against him.

There are only 22 MMTC license holders. 2 of them are done with. The 20 others have been (or most likely will be) contacted about this place.

It doesn't even matter as the place is contaminated. It was contaminated before Fluent and it was contaminated after Fluent. Who would buy or lease a $8 million dollar nursery? To grow what? Nothing would bring a return on investment on the facility.

He says it's turnkey. It was never cannabis turnkey. Fluent had to drop over $250,000 for upgrades just to make it "workable."

If the place was suitable, why does he keep putting it up for lease or sale? There's only 20 other MMTC license holders for this place! He could just contact them! It means he has nothing going on.

He's a liar, boaster and terrible business person. Look at all his obscure websites "selling" the same product. He doesn't know how to run a simple business. He's all over the map with no concrete footing.

His communication skills are terrible. I don't even understand this on any level.

So many people have cannabis or hemp businesses in someway, shape or form and do just fine.

The Homestead facility is up for sale once again.

This means that he cannot find a buyer nor an MMTC license holder.

I wasn't sure if, in fact, someone bought into this nursery. I'm glad they didn't.

As I mentioned in a earlier post... There were negotiations between Feldenkrais and Cookies Florida in January 2023 to grow MMJ at this facility. It is now confirmed that they backed out of the deal and realized what a mess this "operation" and facility really is.

Who is going to buy this nursery? Certainly not someone who grows cannabis. So, who is going to buy an $8 million dollar nursery? For what? To grow lemons? Nobody. Nobody is going to buy or lease this for 60k a month. This sold in 2021 for $2.75 million. Now it's $8 million?

This guy needs to reach out to me. Or at minimum needs spiritual guidance in his life.

I still don't understand how it was an obvious scam. Even the CEO of Fluent said he didn't think Feldenkrais intentionally failed at growing hemp. There was nothing "cardboard cutout" about the operation. It was real with real components.

But Feldenkrais is a terrible business person with a sprinkle of shadiness thrown in. And, yes, I suppose he did deceive fluent with a few sleight of hands about his "operation." And the shareholders as well.

I don't think Feldenkrais scammed us. But I do think he fraudulently held himself out to be something it wasn't with Fluent. And he got busted for it.

I really believe that Fluent has the stronger position here. I want my money back but I would like to see Fluent win.

(1) Paragraph 4 in the Service Agreement states:Compensation and Terms: The contractor shall be paid for it's services on a per plant output basis. Output means produced. CIGN never produced a single, sell-able plant. How can you charge someone when nothing was ever produced?

(2) Contamination at the facility predates when Fluent was there. There is proof of COA's that have heavy metals in them from the hemp grown by Feldenkrais.

(3) Fluent was never truly in compliance with the Department of Health. The mortgage company prohibited the use of the facility as a medical marijuana grow operation. The contract with CIGN and the mortgage company would have made Fluent not in compliance for the growing of the plants. Fluent's lease agreement with CIGN should be voided as two lease agreements were in effect at the same time.

(4) Fluent CEO stated that he believed the hemp products he tested at the homestead facility were made from the hemp grown on site. He later learned that was not true. I believe him when he says this. I believe Feldenkrais used a sleight of hand to convince Fluent to use their facility.

Learn the lesson and move on. It was an OBVIOUS scam years ago.

In my opinion, Fluent has the stronger position in the lawsuit.

(1) Fluent was out of compliance the whole time with the DOH and therefore didn't have a right to grow at Homestead in the first place. Feldenkrais deceived Fluent.
(2) Feldenkrais covered up the contamination. The hemp crops before Fluent came in were contaminated and then when they did a test crop after Fluent left the hemp plants tested for contamination again.

He "claims" revenues were $454,000. From where? From his obscure websites and non-existent products? And operating expenses totaled $364,000. Really? Your operating expenses were over 75% of your revenues? Over $30,000 a month in expenses? From what? There is nothing going on!

Check out one of his websites called GetMedicated.com... If you go to where you can buy hemp water and try to purchase the product it says "one bootle".... I guess the spelling of bottle correctly isn't important.

But goodwill is $11,000,000 in tangible and intangible net assets? Really?

Never says a peep about raising the authorized shares to 10 billion again.

But I will disagree with you that I can not see his point of view at all on what I posted. If, in fact, he believed the opposite of what I said then he needs to get out of this industry and find spiritual guidance on how to run a business.

My problem is will the jury believe him?

My strong opinion is that Fluent should have never been there and was in fact out of compliance with the DOH because they did not have permission to use that facility in the capacity it was used in. How can CIGN sue for breach of lease when the lease was voided from the start in my opinion?

I didn’t say I agreed, but I could objectively see his pov. I also would’ve expected continuity behind the scenes. Everyone who waited was instead met with another sham FINRA name change and some chat gpt PRs about weak business progress / outlooks.

Like i said before, the usa is a playground for scammers and fraudulent people/activities. In europe this would never have happened. Guess i have to fly over, take off the roof and sell the parts of the farm to get my money back.

He didn't need financing. That's a problem to me. He should have had enough to handle what he needed in the months before the CE. He wasn't building a technological device. He was selling hemp and weed. LOL

Trading has no bearing on running a business. Limited trading means nothing to me.

He should have been putting out information (PR's). The thought because there is a CE everything stops is silly to me. That right there was a big red flag to me. A real business (and a real businessman) would keep putting out information. In my eyes, no PR's because "it was pointless" means he was just trying to pump the stock. That's because he had absolutely nothing going on.

And the fact that he upped the A/S to 10 billion again and did not put that in his financial report is a huge red flag. He still says A/S is 5 billion.

I've actually been very objectively critical even back in spring 2021. So much so, that I got reported by the pie-in-the-sky folks on ST and my account got revoked. I've been very hopeful all throughout CE because we were "stuck" and I understood financing, limited trading outside US, and not really wanting to put out much.with no real audience and was looking forward to coming out with almost 3 years of gameplan to execute and free trading. Now, we're back to the sleight of hand with name change, more details on lawsuits, etc. that it's almost laughable how poorly this whole thing is managed. I should've cashed out 100% instead of 50% back in the mult-penny days.

It makes me happy to see you and others (on ST) becoming critical of this guy.

Yes, there are a few related party transactions with Feldenkrais. But again, without concrete evidence, there is nothing I see as a scam yet.

I can't link anything to anything that says he scammed me. Believe me, I tried. And I fight hard not to think he is a scammer. But I'm just not there yet.

Happy 5 months of no CE and almost 5 months since name change request filed. Proving to be inept regardless of being "in jail" here. Sad story continuing.

As much as I am negative here (and will continue to be), I don't believe Feldenkrais in anyway is a scammer still. And I think at the core of his being, he is a good person.

I've seen him write texts saying "Happy Fathers Day" to the CEO of Fluent. I mean, does that really spell out a bad person?

I truly believe that Feldenkrais wanted to run a successful cannabis company. The problem is, he is a terrible businessman from what we've seen with a little bit of shadiness sprinkled in.

With that said, I'm sincerely not convinced that we won't ever see this over a penny again someday. Just because someone at first seems like a bad businessman doesn't mean he can't turn it around.

As for the lawsuit with Fluent; I am not sure who will win. Technically, Fluent should have never been there due to a prohibition of leasing to a marijuana grower. But then again, did Fluent not uphold there end of maintaining the facility? But then again, was the contamination always there and CIGN's fault? I haven't come to my final conclusion on who seems in the right.

As for the lawsuit with Global Equipment & Manufacturing; This is just terrible that Feldenkrais won't give him the money back. Theft is theft. This looks very poorly on him. Another notch in the "bad businessman" I suppose.

At the end of the day, I believe, he ruined his name and reputation in the cannabis field. But that doesn't mean it's permanent.

As of 4/9/2024, Feldenkrais is yet again in another lawsuit.

He is now being sued allegedly for the refusal of returning payment and/or the shipment of goods bought by Global Equipment & Manufacturing for three (3) modified refrigerator containers from Can-It Industries.

I guess he can't even sell Can-It Pods honestly to people apparently.

There is an email attached to the complaint as evidence of correspondence between the president of Global Equipment & Manufacturing to Feldenkrais demanding a refund of payment for the containers never shipped.

The last line of the email states, "Do the right thing Mike and pay me back the money you rightfully owe me."

This is getting sad.

I think everyone should read the documents (depositions) from the lawsuit. What great insight into this whole "business."

They never had any big sales when they started growing hemp. Just "little" ones apparently. Too much hemp on the market apparently.

The farm is done. It hasn't been operational for years. After Fluent left, they tried to grow a test crop of hemp. It was contaminated. That was the last of the farm.

This guy apparently was in negotiations with a company called Cookies Florida (very big name MMJ grower out of California) to grow cannabis at the facility about a year go. However, it appears that an associate from Fluent reached out to an associate of Cookies Florida and told them not to do business with Michael. Called him a "shady Miami actor." LOL

I mean, the track record is there.

I would assume by now most honest, hard-working and prosperous growers would not want to do business there.

There is a post on Stocktwits that someone said "It also isn't true that all mortgage companies have to approve marijuana facility use in all instances."

I have no earthly idea what they are talking about. They clearly did not read nor listen to the depositions of Michael Feldenkrais or Teresita Otero (the corporate representative) from TNT Real Property (the mortgage company).

It was clearly stated (said in court) that TNT Real Property testified that Feldenkrais had never notified them he leased the property to Fluent to grow marijuana AND that it had remained steadfast about the mortgages prohibition against growing marijuana as well as refusing to remove the prohibition when Feldenkrais proposed subleasing the facility to a grower of medical marijuana.

How much clearly does that get? It was an illegal act.

Then this person goes on to say,"Obviously no one here is privy to the specifics of the mortgage (but they are public through the local recorder in my state) so jumping to such a bearish conclusion is anything but objective."

CIGN is suing Fluent for breach of the leasing contract but in turn CIGN breached the contract by having a lease agreement in the first place with Fluent!

How can Fluent's lease at the same time there was a mortgage contract that prohibited a lease with a medical marijuana grower with CIGN be valid?

The damages stated by Feldenkrais never made much sense to me.

$1.6 million in damages but looking for $18 million? It always seemed high as he was looking to score so he could pay off the mortgage and get rid of the prohibition.

It was also always strange that he kept putting up the greenhouse for sale.

4. Hired a company called "Karma snacks" that apparently "failed" at delivering so he stopped using them

8. Said the hemp water would be in 5,000 stores - never happened - dead product

There's two types of optimism.

(1) Optimism that this stock will rise to get everyone out from under pre-CE.
And (2), optimism that this company will be successful.

I think we all can agree on (1) but (2) is where you lose me.

This guy will never be successful. It would have already been done a long time ago. I remember being told that he was running a cannabis company for 6 years prior to this. I now know that was false and he was not successful in any cannabis related ventures.

I don't believe he is a scammer so far. But he certainly is a liar, boaster, and terrible businessman.

I’m fully giving MF a chance, hence why I’m holding my last 50% of shares. However, I’m more in a position of “what have you done for me lately?” The answer to that is nothing. Sure, there are some things in the works, as there always has been, but what has been successful? The answer to that is, again, nothing.

I’m optimistic, or I wouldn’t be here. I’m also going to be very cautious going forward and probably sell more than half if this ever runs again. I see .015-.02 happening again this year, but Michael needs to do something. Anything. He can’t preach transparency, then sneak an AS increase into a name change amendment, and then not say a single peep about it. Let’s see what happens.
