WQLF Analysis continued

The shares added to the outstanding since the Quarter ending on September 30, 2024 included 1,421,067 common shares converted from notes. There was 175,000 issued for consultants. These shares were added to the float along with the 719,709 shares by the 5 investors after the failed 3:1 preferred conversion proposal and the 6:1 proposal. Why would the note holders and the 5 investors convert to common shares of their shares would be wiped out from a 13:1 preferred share conversion? I will bet they converted to make sure the 13:1 and the reverse split are voted down.

WQLF ANALYSIS :

Double Wammy. Not only did the company deter the common shareholders to vote no to the preferred conversion of 13:1, they also wanted the common shareholders to vote for a 1:3 or 1:10 reverse split. Both proposals surely to guarantee a no vote for both proposals. Could that be the reason the common shareholders didn’t sell off after hours? I do think so in my opinion from my analysis and common sense. Let’s take a look at the outstanding shares from the 3:1 conversion proposal that didn’t pass the muster. There were 2,960,576 outstanding common shares during the rejection.

The following Quarter ending on 12/31/23 the outstanding common shares increased to 2,961,056. Only 480 shares were added.

The following Quarter ending on 3/31/24 increased to 3,045,204. An increase of 84,148 shares. During this period of time the proxy vote for a 6:1 conversion was proposed.

The Outstanding common shares as of January 14, 2025 was 6,262,833. That is an increase of 3,217,729 shares. Over a 100 percent increase.

Is the increase of common shares a ploy to get a yes or no vote for the conversion? The investors decided to convert by a total of 719,709 shares. If the plan was to get the Outstanding shares above the 50 percent who would lose and who would win. The common shareholders would lose and the preferred shareholders would win along with the CEO who has a lot of preferred shares. Who are the other 2.3 million shareholders not including the investors that bought shares? They will definitely lose if the conversion is passed in the affirmative.

Conclusion: The answer to the premise will be from the price per share of the common shares. If it goes down drastically, the premise would be that the conversion will be passed. If the common shares price per share increases, then the preferred conversion and the reverse split will not pass muster. IMHO

WQLF SAYS: The company set the preferred conversion shares ratio at 13:1 for a proxy vote in April. The key to observe is if the common shareholders panic at sell. The common shareholders are currently not panicking. If the proxy for the conversion is similar to last years 3:1 proposal the passing of the conversion would have to be the majority of the common shareholders and 2/3 td of the preferred shareholders. If the common shareholders hold on to their shares and vote no in the majority then it doesn’t matter what the preferred shareholders vote is. I am going to analyze the common shares that were converted by the lenders and the outstanding shares prior to their common shares conversion. I find it suspicious that the company jumped the preferred conversion to such a higher ratio of 13:1. If the common shareholders hold tightly in order to vote down the offer, that should be apparent by the price per share in the near future. I would hate to be the holders of the preferred that are buying at the current price, if the proposal is rejected by the common shareholders. The preferred shares are going for $1.74 at the moment on low volume.

YCBD market cap is at 3.32 Million at closing on Friday February 7. The closing price of Common shares at $.53 cents and the Preferred at $1.04. The Outstanding Shares are at 6.26 Million and the Implied Outstanding Shares are listed at 6.69 Million. The Preferred Shares are at 5 million. It appears that the market cap is undervalued at 3.32 million because the price per share is set at the price per share after a 3:1 preferred conversion. After the hypothetical scenario of a 3:1 conversion the total common shares would be set at 15 million plus the current 6.69 million implied outstanding shares. Totaling 21.69 million implied outstanding shares. At $.53 cents per share the market cap would be at 11.5 million. Currently CVSI has close to 16 million dollars in revenue. It has a current market cap of 7.37 million. That is at a ratio of $.46 cents. 7.37 divided by 16 equals $.46 cents. In relation to YCBD’s market cap after a 3:1 conversion, 21.7 million at $.53 cents with revenues around 20 million dollars and a proposed market cap at 11.5. 11.5 divided by 20 million dollars equals $.58 cents. The difference between CVSI of $.46 and YCBD of $.53 is a difference of $.07 cents. In order to even the market cap to the market cap ratio of CVSI $.46 cents the market cap of YCBD’s annual revenue of $20 million dollars and implied outstanding shares of 21.69 million, the price per share of$.53 cents. The market cap of 9.2 million would be the equivalent. 9.2 divided by 20 equals a ratio of $.46 cents. Therefore in conclusion. If YCBD converts their preferred shares at a ratio of 3:1 the price per share of the common shares of 21.26 million will be set at around $.43 cents per share. 21.26 times $.435 per share equals a market cap of 9.25 million. Caveat emptor. If you buy the preferred shares at the current price of $1.04 per share, after the premise of a 3:1 conversion rate, your 3 shares would be equal to a cost of .3467 cents per the three shares. After the premise of a 3:1 conversion and the price per share is set at $.435 cents then you are ahead by close to 7 cents per share. This comes to a 20 percent premium / profit. The pumpers on the yahoo message board claim you will be making a premium / profit of 250 percent. That is far from the truth. They are correct that you will make a profit by buying Preferred over the common, but their bloated claims are incorrect. One of the two pumpers on the board claim that you will also get a portion of the deferred dividends. That is TRULY misleading. Once you convert, the accumulated dividends are not passed on to the preferred shareholders. If you recall, not too long ago the preferred shares hit a low of $.31 per share. This corresponds to the .3467 cents that my analysis came up to if one purchased at the current price of $1.04 per share. If the price of the commons are priced at $.435 after a hypothetical 3:1 conversion, the most you will want to pay for the preferred shares before a conversion would be at $1.30. That would make your 3 shares equal to $.435. $.435 times 3 equals $1.305.

The price of the preferred shares prior to the 1 for 3 conversion on August 2, 2023. The bottom number being Volume. The price went down drastically. From around $3.00 to around $1.00 per share. If you get 3 shares at $2.00 it comes to $6.00 per share. That is the conversion amount listed for a conversion. When the company later offered 1 for 6 conversion, the price per share was around $1.00 giving a $6.00 per share conversion. The dividends would not be paid according to the company’s agreement. That vote was never consummated according to the company because it did not have enough votes. The present day price of the preferred shares is around $.90. There were shares purchased on Wednesday before trading at $1.12. If the preferred shares continue to rise the company will most likely have an offering to convert at a 1-3, at $2.00, a 1-4 at $1.50 and 1-6 at $1.00. If the preferred price reaches $3.00 then a 1-2 is probable in my opinion.

Item 1.01 Entry into a Material Definitive Agreement.

On August 23, 2024 (the “Effective Date”), cbdMD, Inc. (the “Company”) entered into an Amendment (the “Amendment”), to amend (i) its outstanding 8% Senior Secured Original Issue 20% Discount Convertible Promissory Notes with an original issuance date of January 30, 2024 (each a “Note” and collectively, the “Notes”), issued by the Company to five institutional investors (the “Holders”) and (ii) the Security Agreement entered into by and between the Company and the Holders dated January 30, 2024 (the “Security Agreement”).

As previously disclosed, the Company’s wholly owned subsidiary, CBD Industries, LLC (“CBD Industries”), filed a cancellation proceeding before the U.S. Patent and Trademark Office Trademark Trial and Appeal Board (TTAB) against Majik Medicine, LLC (“Majik”), in April 2019 to cancel Majik’s issued supplemental register trademark for “CBD MD” (the “Limited Mark”) on multiple grounds and Majik filed certain counter claims under a matter pending in United States District Court for the Western District of North Carolina (the “Majik Claims”). On the Effective Date the Company and CBD Industries entered into a Settlement, Purchase and Release Agreement with Majik (the “Purchase Agreement”) and acquired the Limited Mark in consideration of the payments described below and the Company and Majik agreed to jointly execute and file a voluntary dismissal with prejudice for the proceedings relating to the Majik Claims. Furthermore, upon execution of the Purchase Agreement each party released the other from all claims relating to the Majik Claims. The Company paid Majik $100,000 on the date of the Purchase Agreement and shall pay Majik $50,000 on each one-year anniversary of the Purchase Agreement for a period of four years (the “Additional Payments”). In the event the Company fails to make an Additional Payment, the Limited Mark shall be reassigned to Majik. The Company also issued Majik 75,000 shares of common stock on the Effective Date (the “Initial Shares”) and will issue Majik 50,000 additional shares of common stock on the one-year anniversary of the Purchase Agreement. In addition, the Company entered into a five-year consulting agreement with Majik. Under the agreement Majik shall provide nonexclusive consulting services to solicit and refer a specific business vertical wholesale customer base of Licensed Practitioners who provide clinical services to individuals and receive a 15% commission on any annual increase of net sales relating to new sales to such Licensed Practitioners. This is a wholesale customer base the Company has been unable to exploit which has positive potential. The Company believes securing the Limited Mark enhances the Company’s overall IP portfolio and removes the procedural impediments at TTAB to facilitate the issuance of additional marks for the Company’s brands and avoids continued costly litigation which would otherwise be required to secure the Limited Mark. Pursuant to the Purchase Agreement, Majik also appointed William Raines III, an independent member of the Company’s board of directors, as the proxy for Majik for the Initial Shares, for twelve months from the Effective Date.

The Amendment (i) amends the Note to include the pledge of the Limited Mark as a Permitted Lien (as defined under the Note) and include the Additional Payments as a Permitted Indebtedness (as defined under the Note); and (ii) amends the Security Agreement to revise the definition of Excluded Assets (as defined under the Security Agreement) to include the Limited Mark until the Company completes the Additional Payments.“
