Lipman Electronic Engineering Ltd. Reports First Quarter 2006 Financial Results

ROSH HAAYIN, Israel--(BUSINESS WIRE)--May 8, 2006--Lipman Electronic Engineering Ltd. (Nasdaq, TASE: LPMA), a leading provider of electronic transaction systems and solutions, today announced financial results for the first quarter ended March 31, 2006.

For the first quarter of 2006, revenues were $57.6 million, an increase of 6.3% over revenues of $54.2 million for the first quarter of 2005. Excluding revenues from its Dione subsidiary, Lipman's revenues in the first quarter of 2006 increased 22.6% compared to the same period in 2005.

Net income for the quarter before cumulative effect of an accounting change was $6.6 million, or $0.24 per diluted share, compared to net income of $5.3 million, or $0.19 per diluted share, in the first quarter of 2005.

Prior to January 1, 2006, the Company recognized stock-based compensation expense based on the provisions of FAS 123. Effective January 1, 2006, recognition of this expense is based on FAS 123R which amended FAS 123. FAS 123R provides that in determining the amount of stock-based compensation expense a company must take into account an estimate of outstanding options that will be forfeited prior to vesting. Prior to the effectiveness of FAS 123R, the Company did not estimate forfeitures in determining stock-based compensation expense. FAS 123R requires the Company to recognize the cumulative effect of the change in these accounting principles to reverse compensation cost recognized in the financial statements in periods prior to January 1, 2006 for those options that are not expected to vest. As a result, $1.3 million is added to net income in the consolidated statement of operations for the quarter ended March 31, 2006 to reflect the cumulative effect of this accounting change, net of taxes. The Company's net income for the quarter after the cumulative effect of this accounting change, net of taxes, was $8.0 million, or $0.29 per diluted share.

Non-GAAP net income for the three months ended March 31, 2006, which excludes $801,000 of non-cash stock-based compensation expenses and the cumulative effect of the accounting change, was $7.4 million, or $0.27 per diluted share, compared to $6.6 million, or $0.24 per diluted share, for the comparable period of 2005. Non-cash stock-based compensation expenses for the three months ended March 31, 2005 totaled $1.3 million.

Gross profit for the quarter was $24.5 million, or 42.5% of revenues, compared to $22.9 million, or 42.2% of revenues, for the first quarter of 2005.

Cash flow from operating activities for the three months ended March 31, 2006 was $4.8 million compared to $1.9 million for the comparable period in 2005.

During the first quarter of 2006, the Company purchased 343,600 of its ordinary shares for an aggregate amount of $8.7 million in accordance with its previously announced share buyback program.

As of March 31, 2006, the Company had cash and cash equivalents of $120.0 million compared to $124.4 million as of December 31, 2005.

Lipman and VeriFone entered into a definitive agreement for VeriFone to acquire Lipman in a transaction valued at $793 million, based on VeriFone's share price at the close of trading on April 7, 2006. The acquisition is expected to close by October 31, 2006 and is subject to approval by shareholders of both companies and customary regulatory approvals.
Lipman received a $3.2 million follow-on order for its Dione Secura(TM) PIN Entry Devices from a leading Mexican bank.

After reports were confirmed about an acquisition by rival VeriFone today, Lipman Electronics Engineering (Nasdaq: LPMA; TASE: LPMA) president Isaac Angel spoke to "Globes" today.
Globes: How do you celebrate the signing of a contract like this?

Lipman Electronic Engineering president Isaac Angel:

"The first thing you do is grab a few hours of sleep, a thing that was very much lacking over the past few days.

What does Lipman bring to the VeriFone deal?

"First of all, Lipman brings the best technology in the world for credit card verification, especially wireless. Secondly, Lipman is active in 20 markets, and is bigger than VeriFone in most of them. This means that from day one, VeriFone gains the position of market leader in some of its target markets. Thirdly, VeriFone gets the human capital at Lipman today.

Is there a plan or a clause in the contract regarding company workers?

"Lipman currently employs 1,000 workers, of which 500 are in Israel. Half our Israeli staff works at our production plants. One of the big advantages that Lipman has is the fact that it also produces the products it sells. This provides flexibility and is an advantage over the competition. Following the acquisition of Lipman by VeriFone, I expect that the amount of products made in Israel will only increase, not the opposite."

What will happen to Lipman's management, which you head?

"The company's management will be fully integrated into the merged company. My main role in the coming years will be to make sure that the Lipman-VeriFone merger succeeds. Also, I'm to be named head of operations and development of the merged company.

After 27 years at this company, isn't there an emotional aspect to the sale?

"Of course there is, but that's over and done with. This deal didn't come about in a day, and any uncertainties I might have had, or not had during the sale process, were dispensed with long ago. Today, what I feel is more a sense of pride, because over the years, this company that started from nothing has become one of the leaders in its field. I believe that the combination of these two companies will create a higher value for the investors.

Did you get additional offers for Lipman from other competitors?

"Look, we didn't put Lipman up for auction, but there were some conversations, just like the other conversations we've had over recent years with all sorts of parties."

Did Lipman's not particularly good annual report have an effect on the timing of sale and the price?

"I don't think that the timing was particularly good from our standpoint. It's true that the share deteriorated after our profit warning, but it returned to its current high trading level. The shareholders and I would have gone for this deal regardless. Moreover, Lipman is the kind of company where something is always happening; had we waited for the perfect time, it probably never would have happened. Keep in mind that VeriFone also made some major strides over the past year, so that all conditions were right for the deal to go ahead."

SAN JOSE, Calif. & ROSH HAAYIN, Israel--(BUSINESS WIRE)--April 10, 2006--VeriFone Holdings, Inc. (NYSE: PAY - News) and Lipman Electronic Engineering Ltd. (NASDAQ: LPMA - News; TASE: LPMA) today announced that they have entered into a definitive agreement for VeriFone to acquire Lipman, the Rosh Haayin, Israel-based provider of electronic payment systems. Following the acquisition, VeriFone will become the largest global provider of electronic payment solutions and services, capitalizing on accelerating growth in the emerging markets and demand for IP-based and wireless payment systems.

Lipman shareholders will receive for each Lipman share 0.5 shares of VeriFone common stock and $14.304 in cash, adjusted for a special dividend. The amount of the special dividend has not been finally determined but will likely exceed $23 million. Alternatively, Lipman shareholders may elect to receive either $29.07 in cash, or 0.9844 shares of VeriFone stock for each Lipman share, each adjusted for the special dividend. The cash and stock elections are subject to proration such that VeriFone will issue in the aggregate approximately 13.3 million shares of VeriFone stock and pay approximately $382 million in cash, adjusted for the special dividend. The acquisition is valued at $793 million based on VeriFone's share price at the close of trading on April 7th, 2006. VeriFone expects the transaction to be accretive to street consensus estimates for fiscal 2007 net income, as adjusted. Closing is expected to occur by the end of VeriFone's current fiscal year (October 31, 2006). Following completion of the acquisition, VeriFone will continue to trade on the New York Stock Exchange and will be dual listed on the Tel Aviv Stock Exchange.

Lipman's revenues in the fiscal year ended December 31, 2005 were $235.4 million, an increase of 30.4% over the comparable period of 2004 and net income for the year was US GAAP $20.0 million. The acquisition is subject to approval by shareholders of both companies and customary regulatory approvals.

Lehman Brothers acted as financial advisor to VeriFone on the acquisition. Merrill Lynch acted as financial advisor to Lipman.

Merrill Lynch raises Lipman target to $33

Merrill Lynch today raised its 12-month price target for Lipman Electronic Engineering (Nasdaq, TASE: LPMA) to $33, based on estimated earnings this year and in 2007.

The price objective is 20 times Merrill Lynch's estimate for Lipman's 2007 earnings of $1.62. This multiple represents a discount to competitor VeriFone's 2007 price/earnings multiple of 23, the bank says. But Lipman is a smaller company with a less diversified business, the analysts add.

Apropos of VeriFone - is it out to buy Lipman, or not? Merrill Lynch doesn't know. "We think a merger between these two companies would make both strategic and financial sense as it would likely be very accretive to VeriFone while potentially providing an attractive price to Lipman shareholders," the bank adds. But even as a stand-alone, the analysts added: "?we think Lipman shares can trade higher based on improving fundamentals, a very healthy balance sheet, and a strong market environment."

VeriFone wants to buy Lipman, say market whispers

Lipman Electronic Engineering (Nasdaq, TASE: LPMA) stock soared 8% on turnover of in 900,000 shares on Nasdaq last night. The share was propelled skyward by circulating speculation that the smart card terminals maker is a takeover target of rival company VeriFone, at a company value of $850 million. If so that would be a cool 25% premium over Lipman's opening price on Nasdaq that Wednesday.

Lipman is controlled by Mivtach Shamir Holdings (TASE: MISH) and First Israel Mezzanine Investors. It develops and markets terminals that read credit and smart cards.

Its career on Wall Street hasn't been entirely smooth: it released earnings warnings in June 2005 and in September that year, because of floundering business at its U.K. subsidiary Dione, which Lipman had bought in October 2004 (from a group of investors headed by Poju Zabludowicz) for $71 million.

For the year 2005 Lipman reported $20 million profit on revenues of $235 million, compared with netting $30.7 million on turnover of $180 million in 2004.

Over the last 12 months, shares in Lipman have retreated by 13%, based on the troubles at Dione and umbrage on the Street about the company's transparency issues. There has been some rebound lately, though.

Like Lipman, San Jose-based VeriFone also supplies and installs smart card and check readers, as well as receipt printers and Internet commerce software. The company's market cap on Nasdaq is $2 billion, after a 163% climb since its initial public offering in May 2005. For the year 2005 VeriFone reported earning $33 million on revenues of $485 million, compared with a negligible $650,000 profit in 2004 on sales of $398 million.

For the first quarter of 2006, VeriFone reported 19% sales growth to $135 million and a 140% leap in net profit to $13.8 million. Its gross profit also improved for the fifth quarter in a row. Most of the upswing arrived from the American market, and from Russia.

While Lipman's spread around the world includes choice markets such as Turkey, Spain, England and China, VeriFone derives most - 60% - of its revenues from the U.S. market. In the U.K. and Spain Lipman is the leading supplier of card reading systems. VeriFone is however Lipman's chief rival in the world market.

VeriFone can boast 20% of the U.S. market for card reading terminals, while Lipman can claim another 10%. A merger between the two bitter rivals would create a large company with a real edge in America.

VeriFone has stated that expanding in Latin America and in the Far East are part of its goals. Buying Lipman would advance it in that direction. More specifically, in the post-results conference call, the company's CEO ? Dougles Bergron, said he wants to expand in Turkey and Spain, where Lipman has powerful presence.

Buying Lipman, if the preliminary talks mature into an actual deal, would be the cherry on the cake of the revolution at VeriFone. Before its IPO this had been a company with a $135 million hole in its shareholders' equity. But in two offerings, in May and September 2005, the company raised $133 million.

A Lipman spokesperson said that as is the company's custom, it does not comment on rumors about its relations with suppliers, customers, acquisitions, and mergers.

A foreign acquisition is one of the hardest things an Israeli company can do, but Lipman has learned valuable lessons from its Dione experience.

Lipman Electronic Engineering (Nasdaq: LPMA; TASE: LPMA) made a about-face in the fourth quarter of 2005. Those who remember what I wrote about the company at the time of its big third-quarter plunge will undoubtedly reach the same conclusion that I have -- the company’s management is good. For that reason, Lipman should be part of every wise investor’s portfolio. Its current price of $26 is definitely a price for a long-term investment. The share fell last September, following a poor quarter, preceded by a profit warning. The reason was problems created by the acquisition of British company Dione. I said at the time that acquiring an overseas company was the aspiration of every Israeli industrialist. It’s also right strategically and business-wise, if the company has something to sell.
There’s no doubt that Lipman, like other companies, performed due diligence and other measures. Anyone who has ever taken part in the acquisition of a foreign company, however, is well aware that no examination or due diligence can discover everything. What’s even worse is that, even assuming that all the cards are being laid face up on the table, the problem of mental adjustment only begins at that point. Israelis don’t mentally suit anybody, so acquiring a foreign company can be fantastic from every angle except one -- adjustment. I said that Israelis have special problems, and that’s the case. For example, every Israeli company has severe marketing problems. There are various reasons for this, but two of them are the most important. The first is that Israel doesn’t have many real marketing and sales experts. The second is that Israeli companies find it difficult to sell their products in many parts of the world because they’re Israeli.

”During the quarter we continued to address the issues in our Dione subsidiary,” Lipman president and CEO Isaac Angel said yesterday, when the company published its reports for the fourth quarter and full year. “We rationalized Dione's cost structure in order to bring it in line with Dione's goals for the coming year. We secured contracts for the sale of Dione products to customers in Mexico and Germany, countries in which Lipman did not have a presence.”

In my opinion, the acquisition of Dione was one of the best things that every happened to Lipman. True, it cost a lot, and pushed the company’s share down, but had Lipman not noticed the problems and learned from them, the damage would have been far greater. “Tuition” they would call it in the New York University International Business Area Ý Stern School of Business. Merrill Lynch was very satisfied, and wrote that Lipman had easily beaten its forecasts.

There’s no doubt that Lipman is starting out 2006 stronger, more experienced, and with enough money to make more acquisitions, should it encounter them. Keep in mind that, after the problems with Dione, the next acquisitions will be easier and cleaner to make. Who knows? This just might prove to be a homegrown Israeli multinational company. Angel certainly shows signs of ability. As far as value is concerned, according to the analysts’ consensus, at $26, Lipman is being traded at a historical p/e ratio of 20, and one of 18 for 2006. I believe that Lipman will beat the consensus, so I think the current price is very economical.

Lipman Electronic Engineering Ltd. (Nasdaq, TASE: LPMA), a leading provider of electronic transaction systems and solutions, today announced financial results for the fourth quarter and full year ended December 31, 2005.

For the fourth quarter of 2005, revenues were $68.8 million, an increase of 4.7% over revenues of $65.7 million for the fourth quarter of 2004, and an increase of 27.0% over revenues of $54.1 million for the third quarter 2005.

Net loss for the quarter was $(360,000), or $(0.01) per diluted share, which includes a non-cash goodwill impairment charge of $10.5 million related to the Company's Dione subsidiary. Lipman determined the impairment charge in accordance with SFAS 142 based on current projections of future cash flows. Net income for the comparable period in 2004 was $9.7 million, or $0.35 per diluted share.

Non-GAAP net income for the three months ended December 31, 2005, which excludes the non-cash impairment charge of $10.5 million and $1.4 million of non-cash stock-based compensation expenses, was $11.5 million, or 0.42 per diluted share, compared to $10.3 million, or 0.38 per diluted share, for the comparable period of 2004. Non-cash stock-based compensation expenses for the three months ended December 31, 2004 totaled $636,000.

Gross profit for the quarter was $27.9 million, or 40.6% of revenues, compared to $26.6 million, or 40.6% of revenues, for the fourth quarter of 2004.

Cash flow from operating activities for the three months ended December 31, 2005 was $9.4 million compared to $15.5 million for the comparable period in 2004.

As of December 31, 2005, the Company had cash and cash equivalents of $124.4 million compared to $117.4 million as of December 31, 2004 and $118.1 million as of September 30, 2005.

During the fourth quarter of 2005, the Company purchased its ordinary shares for an aggregate amount of $1.5 million in accordance with its previously announced share buyback program.

For the twelve months ended December 31, 2005, revenues increased 30.4% to $235.4 million, from $180.6 million during 2004. Net income for the year was $20.0 million, or $0.73 per diluted share, compared to $30.7 million, or $1.15 per diluted share in 2004.

Operating expenses for 2005 include the non cash impairment charge of $10.5 million, as well as non-cash stock-based compensation expenses totaling $5.3 million, compared to $4.8 million of non-cash stock-based compensation expenses in 2004. Excluding the effect of non-cash stock-based compensation and the non-cash impairment charge, non-GAAP net income for 2005 was $35.9 million, or $1.31 per diluted share, compared to $35.5 million, or $1.33 per diluted share, for 2004.

Gross profit for the year was $100.5 million, or 42.7% of revenues, compared to $81.5 million, or 45.2% of revenues, for 2004.

Lipman Electronics Engineering (Nasdaq: LPMA; TASE: LPMA) today announced that it has received a contract to supply $7 million of customized NURIT 8320 and 8000 Point of Sale terminals and NURIT 222 PIN Pads to the Industrial and Commercial Bank of China (ICBC).
These terminals will be used in a joint project between ICBC and China National Petroleum Corporation (CNPC) to equip more than 8,000 CNPC petrol stations with Lipman terminals.

Lipman noted that the project, which comes following a successful 12 city pilot program, is one of the largest POS terminal deployments in China to date.

Product shipments began during the second half of 2005, with deliveries expected to continue through the first quarter of 2006.

Through this program, CNPC is deploying customized versions of Lipman's NURIT 8000 utilizing Wi-Fi technology and NURIT 8320 with Ethernet and modem connectivity, as well as Lipman's NURIT 222 PIN Pad.

Utilizing a form of Wi-Fi technology that is new to the electronic payment industry, Lipman's devices will allow CNPC customers to pay for fuel from their vehicles, quickly and securely.

On December 16, 2005, ICBC and MasterCard International held a joint ceremony to introduce the Peony MasterCard, the first EMV chip-based card available in China.

CIBC lifts forecasts for Lipman

CIBC World Markets took a nice long look at Lipman Electronic Engineering (Nasdaq, TASE: LPMA) at the end of 2005. Also factoring in its many encouraging announcements about new customers, the investment bank decided to raise its forecasts for the Israeli company's second quarter and year 2005.
The analysts raised their fourth-quarter forecasts by $2 million to $67.5 million, while earnings per share was lifted by two cents to 38 cents per share, or $10.4 million.

For the year 2005 CIBC World Markets expects Lipman to achieve $234 million sales, and to net $34.7 million or $1.26 per share.
However, it repeated its Sector Perform investment rating, and 12-month price target of $27.
CIBC sees Lipman gaining momentum in several strategic areas. Earlier in 2005, Lipman had been forced to downscale forecasts because its English subsidiary Dione had been doing badly. But afterward, Dione products played an important role in Lipman's entry into the German and Mexican markets, the analysts say. By and large the analysts feel the trouble at Dione is over.
Business is back on track in the U.S. too, they add, where a new distribution agreement with the NOVA corporation could add momentum to 2006 sales.
Also, in November, Lipman reported an important contract in India, where its local subsidiary is starting to meet expectations.

The investment bank also lifted its forecasts for 2006 to $268.1 million sales (from $265.8 million), and earnings per share of $1.40 (compared with $1.35).

Merrill Lynch raises Lipman price target to $28

Merrill Lynch today raised its 12-month price target for Lipman Electronic Engineering (Nasdaq, TASE: LPMA) to $28, from $25.
Analysts at the New York-based investment bank, Gregory Smith and David Parker, cited their confidence in the company's near-term and long-term outlook, which has improved in recent weeks.
Not only did Lipman report orders in new markets, including Mexico: but the analysts left a meeting with the management feeling optimistic. Also, the company has a plan to buy back $30 million worth of stock, which they see as beneficial to earnings per share.
Lipman also boasted new orders in Germany, most importantly ? a new market for the company, and also, for products made by Dione. The breakthrough Mexican order is small, only $2 million, but it's also for Dione products. Not only do the orders portend well for the future, they portend well for Dione, which had severely disappointed in the first nine months of 2005.
For the year 2005 Merrill Lynch estimates $1.03 earnings per share, down from $1.15 in 2004. For the year 2006 the investment bank projects $1.18 earnings, an increase of 16%.

(Nasdaq, TASE: LPMA) today announced that its Dione Xplorer, Dione Secura and Dione Secura Integration Module have received several significant security certifications. All three products have received PCI PED (Payment Card Industry PIN Entry Device) approval, and the Xplorer and Secura received certification from the Australian Payments Clearing Association (APCA). In addition, the Xplorer terminal has received APACS Common Criteria certification from the UK payments association.

These approvals are in addition to previously issued Interpay and ZKA security approvals applying to the Netherlands and Germany, respectively, as well as Visa PED approvals.

The Xplorer is the first full-function payment terminal to receive such broad security approvals.

In addition, APACS certification required evaluation of the security of the development and production environments.

Lawyers lining up to sue Lipman over second warning

The second sequential revenue warning that Lipman Electronic Engineering (TASE, Nasdaq: LPMA ) released, this time for the third quarter of 2005, has triggered a flood of class action motions. Yesterday more law firms lined up to announce their moves: Tel Aviv-based Jacob Sabo, Federmann & Sherwood law firm of Oklahoma, Pomerantz Haudek Block Grossman & Gross of New York, Schatz & Nobel of Hartford, Connecticut, and Charles J. Piven of Baltimore all announced intentions to sue the Israeli firm for allegedly millions-representing the state of business at its English subsidiary Dione.

The case is being handled in the District Court for the Eastern District of New York, Piven's office said.

The class in question are investors who bought Lipman stock on Nasdaq or the Tel Aviv Stock Exchange between October 4, 2004 and September 27, 2005, inclusive, say the lawyers.

Solicitations for class actions have been swirling since last week, all based on the claim that Lipman did not disclose the true situation of its business, and thus artificially kept its share price high. The plaintiffs are demanding compensation for the losses they accuse the company of causing them.

The class has not been certified yet, and investors belonging to the class may motion the court by December 12, 2005 to serve as a lead plaintiff.

"Among other things, plaintiff claims that defendants' material omissions and dissemination of materially false and misleading statements caused Lipman's stock price to become artificially inflated, inflicting damages on investors...

"The Complaint alleges that defendants issued public statements which fraudulently created a false impression concerning the Company's business operations and prospects following the acquisition of Dione, a United Kingdom-based supplier of ``smart card'' payment systems," one law firm wrote.

Lipman had expected the Dione acquisition to be earnings accretive within a year, and during the period in question, the company "touted the Dione acquisition". But the bottom line was that Dione underperformed versus expectations.

During the class period, Lipman's fog enabled it to conduct a secondary offering, getting $29.75 per share in May 2005, the lawyers say.

On September 28, 2005, Lipman admitted that "weaker than expected performance of Dione" forced it to cut its earnings estimates for 2005, from the range of $1.39 to $1.42 per share, to $0.88 to $0.98 per share.

It also fired Dione CEO Shaun Gray on the spot and admitted to expecting a non-cash impairment charge relating to goodwill and other intangible assets for the year.

As the market reacted, Lipman stock sank 22% in a night.

Instead, defendants' statements misled Lipman shareholders and artificially inflated the Company's stock price. Lipman faces class action motion after second revenue warning

Shareholders in Lipman Electronic Engineering (Nasdaq, TASE: LPMA ) who were taken by surprise when the company issued a second quarterly earnings warning in a row are hitting back. At the end of last week a petition to approve a lawsuit as a class action was filed at the Tel Aviv District Court against Lipman and its CEO, Isaac Angel.

The claimant is a man who says he lost NIS 4,000 because the share price tanked after the warning.

Lipman is dual-listed on the Tel Aviv Stock Exchange and Nasdaq. In 2004, Lipman, which specializes in electronic payment terminals and technology, acquired a British company, Dione, to expand its sway in credit card technology. In 2005 Lipman guided investors to expect revenues of $285 million for the year based on anticipated Dione sales.

Ben Zion Rebi, who file the class action motion, claimed that the news of Dione's acquisition spurred him to buy Lipman stock. He spent NIS 19,000, buying the shares through net loss on September 28, in the morning – a few hours before Lipman released its warning.

In it Lipman reduced its revenue forecast to $230-240 million and the stock dived 21% to NIS 96 per share, compared with NIS 120 earlier that same day.

From September 12 to September 27 the stock had lost 16% because of rumors circulating the market that the company's third-quarter sales were disappointing. Investors lost about NIS 1.5 billion in value over a month - Lipman's market cap is presently $579 million.

Rebi claims that in the two months prior to the warning, Isaac Angel knew of Dione's problems. On September 12, when the company's stock began to drop, the company stayed mum. Angel even dismissed the claims about problems and said that business was proceeding as usual, Rebi says: "Sometimes the market drops and sometimes it climbs," he told Globes two days before the stock plunged.

In a conference call Angel and the company's chief financial officer Mike Lilo held in July, Angel confirmed that he had known back in July that Dione was underperforming expectations. Lipman began to seek alternative sources of income and started promoting sales in other countries, Rebi claims.

The group to which the class action motion relates can encompass anybody who bought Lipman stock from September 12, 2005 to 14:09 on September 28, 2005, but it excludes any officers or directors of Lipman itself.

Lipman and its officers should have published the material information back on September 12, Rebi says: hundreds of thousands of people purchased Lipman stock after that date, in all innocence of material information that was being withheld.

Dione isn't only factor behind margin decline at Lipman, says Deutsche Bank

Dione alone is not responsible for the margin decline at Lipman Electronic Engineering (Nasdaq, TASE: LPMA ), suggest Deutsche Bank's equity analysts Dan Harverd and Michael Klahr.

Last week Lipman issued its second guidance warning in a row. But the Deutsche analysts calculate that Lipman's organic margins are declining 5% this year, despite roughly 20% organic revenue growth.

"Sustainable margins are above estimated 2005 operating margins of 16%, but below the 21-31% margins reported in the years 1999-2004," they wrote.

Dione aside, Klahr and Harverd point at two other factors pressing Lipman's margins. One is expansion into emerging markets and large U.S. financial institutions, where margins tend to be tighter. Secondly, they say, Lipman expanded its previous "bare-bones infrastructure" by establishing local subsidiaries in various countries and improving internal systems.

The analysts repeated a Buy rating for Lipman stock and set its 12-month price target startup $26, compared with its closing of $21.01 on September 30.

The Wall Street Journal revealed further escalation in the battle between Overstock.com (Nasdaq:OSTK), short-sellers, and unkind analysts. Short-sellers are speculators who think a share price is too high. They borrow the share from a shareholder and sell it, assuming the price will drop. Then (if all goes well) they buy it back at the lower price to return to the lender, and pocket the difference.

About 50% of Salt Lake City-based Overstock's floating stock has been sold short. Overstock sued Gradient Analytics and the hedge fund Rocker Partner, for alleged collusion. It claims Gradient, ostensibly an objective source of analysis, wrote downbeat reports at the behest of Rocker, which had gone short on the stock. Rocker is a Gradient customer.

Since January, Overstock stock has dived 50%, a fate the company insists is unwarranted. It is all because of a conspiracy between the independent agency and short-sellers, it argues.

It all sounds rather other-worldly to our local market players, not the sort of thing that could happen over here. Israel has very little tradition of short selling, and independent research not written by investment banks is a rarity.

The Wall Street Journal story had another thing we deal much in here. Almost as an aside the paper wrote that the first negative report from Gradient expressed concern about Overstock's accounting policy and the independence of its board of directors.

Independence of its board? How many Wall Street traders really believe that the composition of a company's board changes the probability of its stock soaring or tanking?

Certainly, nobody here has any such convictions.

The Wall Street Journal ran its story on Tuesday. On Wednesday, Lipman stock plunged 23%. Here is the question: would Lipman's stock have behaved any differently if other people had been sitting on its board of directors?

Expand the empire

Lipman's share price dived because the management admitted that Dione, its British acquisition dating from October 2004, had surprised it by underperforming expectations. 'Surprise' is to points it mildly.

When buying Dione, Lipman's management had expected it to produce $80 million sales in 2005. Now they're looking at half that sum. Investors have good reason to wonder how thoroughly Lipman performed its due diligence.

Managers like to expand their empires, even at a high cost. The board is supposed to stop them when the cost or risk to shareholders are too high. Experts in corporate regimes say that lavishing stock options on directors ruins the balance of interests between the shareholders and directors.

Shareholders benefit from the rising value of an investment in the long run, but directors who get options for free benefit from short-term fluctuation in share price, and may support adventurism by the management.

Moreover, a director glutted on options loses his ability to supervise the management from the outside.

In 2003, Lipman gave its chairman, Jacob Perry, a mega-burst of options that according to Black & Scholes, were worth NIS 3.4 million. No wonder that Perry, an insider, chose to join chief executive Isaac Angel and the controlling shareholders – Mivtach Shamir Holdings (TASE: MISH ) and First Israel Mezzanine Investors - in selling shares four months ago, at 40% more than the share prices today. Perry alone made $1.5 million on that exit.

Activist American institutional investors tend to vote against any appointment to the board of a person unlikely to devote sufficient time and attention to the company's affairs. The September 2005 edition of TheMarker 100, listing the hundred most influential people in Israel, needed a whole page to list the high-ranking jobs Perry presently holds, from chairman of United Mizrahi Bank (TASE: MZRH) to chairman of the Israeli Cinema Fund.

During the little time he has left for Lipman, Perry is supposed, says the company, to "develop its business connections inside and outside Israel" – which again begs the question of whether Perry fulfills any supervisory role on the board.

Lipman also lavished options on other people, from which it also seems to expect less supervision than advice and services. Usually a company's board supervises while it pays good money for such services.

Present for Nephew

Of all the possible worthy candidates, Lipman appointed one Yitzhak Davidi as an external director on its audit committee.

Yitzhak Davidi is the uncle of Ishay Davidi, who runs FIMI, which is one of Lipman's major shareholders.

Formally speaking, Uncle Itzik fulfills even the strictest requirements of Nasdaq regarding independent directors on the audit committee; he is a highly worthy director, too. But how can Uncle Itzik be 100% objective when it's his nephew in the controlling group?

How often as doting parent or aunt, or uncle, have you bought a toy for a beloved son or nephew? A toy the child demanded to have, though you knew full well it would last maybe a day before the little genius hammered it into powder? Maybe the nephew had a powerful hankering for Dione and Uncle Itzik had the feeling it wasn't the smartest thing to buy – would you expect him to lead the board or audit committee to vote against it?

In the three weeks before Lipman stock crashed 23%, its stock was busy losing 20% of its value. Stock market sources view that as the result of leaks and wonder why the management maintained opacity for so long, without admitting to the facts.

The answer may lie in the composition of the board and the manner of its remuneration. Rot starts at the top.

It is too soon to say when and how Lipman will recover from the blow. Before its starts to recuperate, it should look closely at another Israeli company that went from bad to worse after making an acquisition. Its board is headed by a very busy man with myriad contacts and business in Israel and abroad, who was also heaped with options before the crash. The man is Jacob Frenkel, the former Bank of Israel governor. The company is Lumenis (Nasdaq:LUME.PK) and the acquisition was of Coherent, in April 2001. The great exit was in June 2001 and the collapse, in early 2002.

Lipman leaped then looked
The company’s adventure with Dione shows how tricky foreign acquisitions are for Israeli companies.

Lipman Electronic Engineering (Nasdaq: LPMA; TASE: LPMA) took a big hit yesterday on Wall Street. The company lost a quarter of its value two days ago. Why? First of all, its downward revision of its forecasts was disappointing. Secondly, and far more important, in my opinion, the behavior of the company’s management, and the inability of analysts to foresee what happened, was also a disappointment.
At the beginning of July, the company published its report for the second quarter and first half of 2005. Sales rose 52.2% to $58.8 million. The steep rise in sales was a result of consolidating sales by the British company acquired last year by Lipman, plus impressive rises in sales in North and South America. Net profit rose to $7.4 million, 12% more than in the second quarter of 2004. Profit per share was up only 8%, but the main reason for that was an increase in the number of share. Expense rose sharply in the second quarter, which kept the increase in profit lower than it was in the first quarter. These differences are clearly visible in the company’s semi-annual report. In any case, the general picture was extremely optimistic.

In May, two months earlier, parties at interest sold 2.3 million shares, raking in a nice sum, which was legitimate. After the company published its quarterly results, I read that Lipman president Isaac Angel had expressed great satisfaction at the company’s progress. He cited places like Turkey, Spain, and Latin America as regions where the company was achieving great breakthroughs. The share responded to the report with rises that began before it was published, and continue for several days afterward.

That’s how things looked from Wall Street. Now let’s switch to Main Street. Last October, Lipman acquired British company Dione. This company deals in the production and supply of systems for reading smart cards. According to what was reported, Dione was one of the world’s leading companies in smart card reading. Lipman paid $69 million in cash for Dione, and undertook to pay its shareholders (including GE Equity) a further $33.4 million if Dione met annual milestones in 2005-2006, following the acquisition. Dione’s management predicted that its revenue would reach $46 million in 2004.

Angel was very satisfied with the acquisition, which was a Lipman’s springboard for entering new markets, growth, and so on. Judging by the acquisition announcement, the match looked wonderful. The announcement stressed Lipman’s confidence in Dione’s management, and, in truth, the hope that Dione would be the Israeli company’s growth engine appeared plausible.

As far as I remember, analysts also responded positively to the announcement; at least, I didn’t see any hostile responses anywhere to the acquisition. The share rose 30% between October 2004 and July 2005. In early June, the share a peak of nearly $34, then started July at $28.50, a 16% drop. The share recovered in July, however, and touched its record again, following the publication of the company’s report. Between early August and two days ago, the share lost 21%. Since publishing its report on July 26, the company published only one announcement before yesterday, concerning the signing of a nice agreement, and nothing else.

Yesterday’s announcement was completely clear. The acquisition of Dione was not the wonderful match they thought it was. It seems to me that due diligence was not conducted with the diligence that was due. Ladies and gentlemen, that’s nothing unusual in the world of mergers and acquisitions, certainly not when it comes to the mergers and acquisitions of Israeli companies that lack experience in such matters. It took Teva Pharmaceutical Industries Ltd. (Nasdaq: TEVA; TASE: TEVA) many years of learning and careful planning, because buying a foreign company is the hardest thing that an Israeli will ever do.

Take G. Willi-Food International (Nasdaq: WILCF; TASE: WLFD), for example, which announced two days ago that it was calling off its acquisition of New Jersey-based food distributor Vitarroz. G. Willi-Food chairman and COO Zwi Williger explained that, after a long and careful due diligence process, G. Willi-Food had decided to withdraw from the acquisition. “There are too many pitfalls there,” he told us. Williger will find another company, because there are many such companies in the US. Imagine what would have happened if they had decided to buy the company, and had discovered the pitfalls a year later. What would G. Willi-Food have looked like in that case?

Following the profit warning issued by payment technology company Lipman Electronics Engineering (Nasdaq: LPMA ; TASE: LPMA) and the plunge in the company's share price, US investment house Merrill Lynch issued a calming note on the company yesterday.
"This morning, Lipman substantially lowered its earnings guidance for FY05 blaming a large shortfall at its recently acquired Dione subsidiary in the UK. Although we are clearly surprised at the magnitude of the shortfall, we think the sell-off in the stock is overdone. We are maintaining our Buy rating, but lowering our price objective to $25 from $36," analysts Gregory Smith and David Parker write.

"New 2005 guidance calls for a rev. range of $230-240 million and pro forma diluted EPS of $1.08 to $1.18. This compares to previous guidance of revenue.of $273-285 million and EPS of $1.59-1.62

"We are lowering our 2005 revenue and EPS to $230.0 million and $1.12, respectively. We are lowering our 2006 revenue and EPS to $248.5 million (+8%) and $1.40, respectively. We think our 2006 estimates are now very conservative and only assume roughly $25million in Dione for the full year.

"Lipman acquired Dione in 2004 and had expected $80 million in revenues in 2005. Instead, Dione should do only around $40 million as a number of expected client signings have not materialized.

"The main silver lining we see is that Lipman ex-Dione should still grow 20% this year. The problems at the company appear to be largely isolated to Dione. We think the company will remain highly focused on its core opportunities and we still think the long-term growth outlook is well intact given favorable market conditions.

"We assume Lipman will not do any significant acquisitions in 2006 and that the company repurchases around $30-40mn of its shares over the next few quarters."

Lipman shares fell 21% in New York yesterday to $20.48. In this morning's trading on the Tel Aviv Stock Exchange, the shares are up 1.37%, at NIS 97.45.

Sept 28 (Reuters) - Lipman Electronic Engineering Ltd. (LPMA.O: Quote, Profile, Research) (LPMA.TA: Quote, Profile, Research) on Wednesday lowered its full-year fiscal 2005 outlook citing substantially weaker-than-expected performance of its subsidiary, Dione.
The company said it now expects earnings in the range of 88 cents to 98 cents per share, on revenue of $230 million to $240 million.

The Israel-based provider of electronic payment systems said excluding stock-based compensation, pro forma net income per share is expected to be in the range of $1.08 to $1.18.

This compares with its previous outlook of $1.39 to $1.42 per share, on revenue of $273 million to $285 million. Lipman had earlier estimated pro forma net income per share to be in the range of $1.59 to $1.62.

ROSH HAAYIN, Israel--(BUSINESS WIRE)--Sept. 28, 2005--Lipman Electronic Engineering Ltd. (Nasdaq, TASE: LPMA) today announced that it is revising its full year 2005 guidance.
The Company has revised its full year 2005 guidance to a range of $230 million to $240 million in revenues and $0.88 to $0.98 of diluted net income per share. Excluding stock-based compensation, which is estimated to be approximately $5.4 million in 2005 (equal to approximately $0.20 per share), pro forma net income per diluted share is expected to be in the range of $1.08 to $1.18. This compares with previous guidance of $273 million to $285 million in revenues and diluted net income per share of $1.39 to $1.42. Previous guidance for pro forma net income per diluted share was $1.59 - $1.62.

The Company said that its performance during the third quarter, anticipated performance during the fourth quarter, and as a result, its expected results for the full year, have been impacted by the substantially weaker than expected performance of its subsidiary, Dione, due in part to a significant slowdown in the United Kingdom point of sale terminal market.

Lipman management, in conjunction with Dione, has been working aggressively from the beginning of the third quarter to secure additional orders in markets outside of the United Kingdom. Several such orders, which the Company expected to close toward the end of the third quarter, failed to materialize.

The Dione acquisition, which was completed in October 2004, provided for additional purchase price to be paid contingent on Dione meeting certain financial targets in 2005 and 2006. Based on Dione's current financial results and those expected for the year, Lipman believes that Dione will not meet the 2005 financial targets. As a result, Lipman expects that it will not be obligated to pay Dione's previous shareholders the earnout of up to $33.4 million in cash and 442,105 shares of Lipman's ordinary shares. In addition, Lipman expects that due to Dione's lower then expected results, a non-cash impairment charge relating to goodwill and other intangible assets, will be required to be taken in 2005.

Lipman also announced that the employment of Shaun Gray, Chief Executive Officer of Dione since 2002, has been terminated, effective immediately. Ricky Garrido, Dione's founder and Chief Technology Officer has been named interim CEO until a permanent replacement is nominated.

Excluding the Dione business, Lipman expects that revenues for the rest of its business will grow approximately 20% in 2005 compared to 2004.

Isaac Angel, President and CEO of Lipman said, "We are disappointed with the performance of Dione in the second half of 2005 in which certain large orders that were expected did not materialize. We have taken steps to rectify this situation. Merrill Lynch remains optimistic on Lipman for the year

Investors have been cool on Lipman Electronic Engineering (TASE, Nasdaq: LPMA ) stock, which again failed to stay at $33. But from September 9, that coolness was replaced with an unequivocal frown, on rumors that its third-quarter sales were weaker than expected. By Wednesday the share price had lost 14%.

As June rolled to a close, Lipman warned that second-quarter sales had been lower than the consensus expectation and its stock fell 5%. But analysts soothed the marketplace, and also, its final results were higher than it had warned investors to expect, leading its share price to approach $33 again.

The market might be much less forgiving of a second revenue warning. Merrill Lynch says that another in a row might impair the management's credibility.

In the long run, says the investment bank, its forecast for Lipman remains positive. The analysts repeated a 55% revenue growth expectation for 2005, to $77 million, and a 29% increase in net profit to $40 million.

But they admitted that visibility regarding quarterly results is not clear and they were not sure whether Lipman would meet pro forma estimates of 44 cents per share for the third quarter, or about $12 million, on revenues of $72.2 million.

Based on their optimism for the year, Merrill Lynch repeated a Buy rating for Lipman stock and 12-month price target of $36, which is 31% above its present level. But they cautioned that competition in its sphere has not evaporated and rival Hypercom is becoming more aggressive in its pricing.

Lipman exit made second quarter for Mivtach Shamir

Selling shares in Lipman Electronic Engineering (Nasdaq, TASE: LPMA ) made the second quarter for Mivtach Shamir Holdings (TASE: MISH ).

Mivtach Shamir, controlled by Meir Shamir, also sold shares in Wizcom and in provident funds, increased its holdings in Gilat Satellite Networks (NASDAQ:GILTF) and joined the controlling interest in Israel Salt Industries (TASE: SALT ), which owns 7% of Bank Hapoalim (TASE: POLI ). Two weeks ago Mivtach Shamir announced an agreement to invest in Elbit Vision Systems (Nasdaq:EVSNF.OB) as well.

On Monday the company reported netting NIS 87.4 million in the second quarter of 2005, mainly thanks to the Lipman exit.

It also announced an NIS 17 million dividend for shareholders.

In June Lipman's shareholders offered to repurchase stock and Mivtach Shamir sold $37 million worth, bringing it an NIS 90 million capital gain in the second quarter. It still owns a 13% stake in Lipman, which makes terminals for smart and credit card processing.

Wizcom, maker of the Qwicktionary translation pen, brought Mivtach Shamir NIS 2.1 million in capital gains.

For the first half of 2005 Mivtach Shamir reported NIS 89 million profit.

Merrill Lynch: Lipman results better than we expected

In a first response to the second quarter results released today by Lipman Electronics Engineering (Nasdaq: LPMA; TASE: LPMA), Merrill Lynch analysts Gregory Smith and David Parker say the electronic payment technology company performed better than they expected. They maintain their "Buy" recommendation for the stock, with a $36 price objective. This compares with a closing price yesterday of $31.14, at which Lipman has a market cap of $855 million.
"Following Lipman’s negative pre-announcement at the end of June, actual second quarter results were slightly better than our expectations due to slightly higher revenues, a higher gross margin, and a lower tax rate," Smith and Parker write..

"Lipman reported second quarter 2005 pro forma EPS of $0.31. However, this included $0.02 from an investment gain. Using $0.29,the company beat our $0.28. The company anticipated an EPS range of $0.25 to $0.29. We note that the company only narrowly missed our original EPS estimate of $0.30 when the $0.02 gain is excluded.

"Revenues of $58.3 million (+52% year-on-year) were slightly ahead of our $57.5 million estimate and slightly above management’s expected range of $57-58 million. Note that our original revenue estimate for the quarter was $61.5 million.

"The company reported a gross margin of 43.3%,a full 100 basis points higher than we were expecting. This was a nice sequential up-tick from 42.2% in the first quarter and it was also above our original expectation prior to the pre-announcement.

"The decline in gross margin on a year-over-year basis (was 47.1% in the second quarter of 2004) is due to mainly to the Dione acquisition - Dione’s products have lower gross margins. We attribute the sequential strength in gross margins to a higher proportion of Us sales and wireless terminal sales, both of which have higher margins.

"Lipman’s tax rate was 25.6% in the second quarter of 2005, vs.our expectation of 30.1%. We believe the company likely was conservative with its original expectations and subsequently received some additional tax relief in Israel. We think lower than expected sales at Dione also helped lower the tax rate in the quarter."

Electronic payment systems provider Lipman Electronics Engineering (Nasdaq: LPMA; TASE: LPMA), has announced financial results for the second quarter ended June 30, 2005.
Net profit for the quarter was $7.4 million, or $0.27 per diluted share, compared to a net profit of $6.6 million, or $0.25 per diluted share, for the comparable period in 2004.

There were 27,536,901 diluted shares outstanding in the second quarter of 2005 compared to 26,991,269 diluted shares outstanding in the second quarter of 2004. All share and per share data were adjusted to reflect a two-for-one stock split effected on June 22, 2004.

For the second quarter of 2005, revenue was $58.3 million, an increase of 52.2% over revenue of $38.3 million for the second quarter of 2004.

Revenues increased due to the consolidation of Dione's results of operations, as well as increased sales in the United States and Latin America. Lipman acquired privately-held Dione Plc in October 2004.

Gross profit for the second quarter of 2005 was $25.2 million, or 43.3% of revenues, compared to $18.0 million, or 47.1% of revenues, for the second quarter of 2004.

Lipman stated that the lower gross margin was due mainly to the consolidation of Dione's results, as gross margin on products sold by Dione was lower than Lipman's gross margin prior to the Dione acquisition.

During the second quarter of 2005, Lipman had amortization of intangible assets expenses of $746,000, compared to $52,000 of such expenses in the second quarter of 2004.

Operating expenses for the second quarter of 2005 included $478,000 in special legal expenses in connection with patent infringement claims brought against the company, and most of the other major point of sale (POS) terminal vendors serving the US market, by Verve LLC and filed with the US International Trade Commission. In February 2005, Verve filed a motion to withdraw the complaint and terminate the ITC action without prejudice. The ITC administrative law judge terminated the ITC investigation.

Financial income for the second quarter of 2005 was $787,000, compared to $415,000 for the second quarter of 2004. Financial income in the second quarter of 2005 included $522,000, or approximately $0.02 per share related to a one-time gain from the sale of Lipman's shares in Wizcom Technologies Ltd.

Operating expenses for the three months ended June 30, 2005 also included $1.3 million of non-cash stock-based compensation expenses compared to $1.2 million of similar expenses in the comparable period in 2004. Excluding the effect of stock-based compensation, non-GAAP net income for the quarter was $8.7 million, or $0.31 per diluted share, compared to non-GAAP net income of $7.8 million, or $0.29 per diluted share, for the same period last year.

As of June 30, 2005, the company had cash and cash equivalents of $121.5 million compared to $117.4 million as of December 31, 2004.

Net profit for the first six months of 2005 was $12.6 million, or $0.46 per diluted share, compared to a net profit of $11.5 million, or $0.44 per diluted share, in the same period in 2004. Merrill Lynch on Tuesday repeated a Buy rating for Lipman Electronic Engineering (Nasdaq, TASE: LPMA ), after the Israeli company announced on Monday that its EMV compliant NURIT 8010 Point of Sale (POS) terminal has been certified by Sistema 4B in Spain.

This certification enables Lipman to sell its NURIT 8010 wireless terminal to all banks that process their payment transactions through Sistema 4B, which is used by more than 30 financial institutions.

The analytical team explains it thinks some morders were delayed in the second quarter because Lipman had not received proper bank certification in Spain. The team, led by Gregory Smith, expects Spanish sales to pick up in the third quarter.

Lipman had already been active there: Spain generated 8% of the company's revenues in the fiscal year 2004, with $16 million worth of orders. Merrill Lynch expects the Spanish market to grow 20% on an annual basis for Lipman.

The analysts are relatively confident that Lipman will meet expectations for the year 2005, based on robust global demand for payment terminals.

They left their out look for the Israeli company unchanged at $277 million revenues in 2005 and pro forma earnings per share of $1.62, an increase of 19% over the year 2004.

Oscar Gruss repeated a Buy recommendation for Lipman Electronic Engineering (Nasdaq, TASE: LPMA ), but lowered its second-quarter forecasts for the electronic clearing systems maker.

On June 30, Lipman warned investors that its second-quarter results would be slightly disappointing. The company blamed the shortfall on the delay of several orders that had been expected to close toward the end of the second quarter.

Rosh Haayin, Israel-based company said it expects its revenues for the quarter to be between $57 million and $58 million and its net income per share to be between 20 cents and 24 cents. On average, analysts forecast income of 30 cents per share on sales of $61.5 million.

Lipman, a maker of electronic payment systems, said it expects the delayed orders to come through in the third quarter. The company maintained its 2005 guidance for income ranging from $1.39 to $1.42 per share on sales of $273 million to $285 million. Excluding $5.4 million in stock-based compensation, the company said it expects earnings between $1.59 and $1.62 per share.

Oscar Gruss analyst Roni Biron set Lipman a 12-month price target of $35, which is 21.5% above the stock's closing level on Nasdaq last week.

Biron projects Lipman will learn 27 cents per share in the second quarter on revenues of $57.3 million, and for the year 205 he lowered his forecast by $3 million to $277 million. He narrowed his pro forma earnings per share forecast by two cents to $1.59 per share, or $43 million, though Lipman had left its forecast for the year unchanged.

He is relatively pessimistic: for the year, analysts expect $1.61 earnings per share on sales of $280.7 million.

Lipman Electronics Engineering (Nasdaq: LPMA; TASE: LPMA) today announced that its integrated payment systems (Dione Xplorer, Secura Integrated, and Xtreme Integrated) now offer a GPRS wireless communication option.
Xplorer, Secura and Xtreme systems support Ethernet, while Xplorer supports Bluetooth communications standards. Lipman stated that Secura Portable will also support Bluetooth shortly. The added GPRS functionality offers merchants a mobile solution enabling payment to be taken almost anywhere at anytime.

GPRS, or "general packet radio service", is a wireless communications standard that runs at speeds significantly faster than GSM or "global system for mobile communications." GPRS supports a wide range of bandwidths and is therefore well suited for sending and receiving large volumes of data.

Shaun Gray, CEO of Lipman's Dione subsidiary, said, "With the continued expansion of wireless infrastructure, we are seeing growth in the demand for mobile payment systems in a broadening range of industries and for an increasing variety of applications. Meanwhile, the TA-25 index will be updated in two weeks and Given Imaging (NASDAQ:GIVN) and Alvarion (TASE, Nasdaq:ALVR) are candidates to get shoved off, being replaced by Koor Industries (NYSE:KOR) and Lipman Electronic Engineering (TASE, Nasdaq: LPMA ). Alvarion is rising 2.4% today but its market capitalization is just $560 million, while Given Imaging has been hovering at a market capitalization of $715 million. Yesterday Koor sank 2.5% but today it's rallying by 0.9%.

Merrill Lynch to start selling $60 million worth of Lipman stock tonight

Two weeks after Lipman Electronic Engineering (Nasdaq, TASE: LPMA ) announced that its controlling shareholders were registering to sell some stock, it's happening. Tonight, after the bell on Wall Street, Merrill Lynch will begin selling $61 million worth of Lipman shares.

Last night Merrill Lynch people held a road show among U.S. institutional investors. The roaring response they received spurred the investment bank to begin the sale tonight.

Insofar as could be ascertained, U.S. institutional investors have pledged to buy enough stock, to preclude any selling to Israel's institutionals who might want to increase their exposure to Lipman.

The prospectus the company published shows that Isaac Angel, its president and chief executive, wants to sell up to 219,000 shares created by stock option conversion. Chairman Jacob Perry is putting 50,000 shares on the block.

Mivtach Shamir Holdings (TASE: MISH ) is selling a million shares and First Israel Mezzanine Investors wants to sell 639,000.

After the sale, Mivtach Shamir will be reduced from 17.9% to 13.8%. FIMI's shareholding will drop from 8% to 5.5%.

Lipman shareholders to sell 7 pct of company

TEL AVIV, May 10 (Reuters) - Shareholders in Israel's Lipman Electronic Engineering Ltd. (LPMA.O: Quote, Profile, Research) (LPMA.TA: Quote, Profile, Research) will sell about $60 million worth of shares, equivalent to 7 percent of the company, through Merrill Lynch on Tuesday evening, a financial source said.
Last month Lipman, a maker of electronic payment systems, filed a registration statement with the U.S. Securities and Exchange Commission for a proposed public offering of its ordinary shares by certain shareholders.

The selling shareholders are insurer Mivtach Shamir Holdings (MISH.TA: Quote, Profile, Research) , Mez-Op Holdings Ltd and Lipman's President and CEO Isaac Angel, as well as the company's Chairman Jacob Perry.

The selling shareholders are offering 1,973,044 ordinary shares. Lipman's shares closed at $29.94 on Monday on Nasdaq.

Merrill Lynch is the sole manager for the offering.

Two of the selling shareholders have granted Merrill Lynch the option to purchase up to an additional 295,956 shares to cover any over-allotments.

A spokeswoman for Merrill Lynch declined to comment.

Lipman's shares in Tel Aviv were down 1.2 percent at 129.6 shekels in afternoon trading.

Another blow to investor enthusiasm with Hypercom is the executive shakeup with both the chief executive and chief financial officers out the door. Beech625 says they were pushed out, and he believes their departures are "the best thing that has happened to this company in a long time" Management has been the poorest allocator of capital that I have ever witnessed." With no replacements yet announced, Beech625 thinks that Hypercom is a ripe takeover target and says Israeli electronic-payment company Lipman Electronic Engineering (nasdaq: LPMA - news - people ) may be interested--and so may a private equity buyer.
