Transaction and Subsequent Merger with SK Holdings

On November 4, 2015, SK Telecom Co., Ltd. (the “Company”) responded to a request by the Korea Exchange to comment on the media reports regarding the spin-off of a newly formed entity and subsequent merger of such entity into SK Holdings Co., Ltd. The Company confirms that such reports are unfounded.
