Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of
Principal Officers.
On March 23, 2017, Jay Margolis notified the Board of Directors of The Boston Beer Company, Inc.
(the “Company”) that he will not stand for re-election as a Director of the Company at the end of
his current term and will retire from the Company’s Board of Directors effective as of the
conclusion of the Company’s 2017 Annual Meeting of Stockholders. Mr. Margolis’ decision not to
stand for re-election was not due to any disagreements with the Company on any matter relating to
the Company’s operations, policies, or practices.
The Company issued a press release regarding such retirement, which is attached hereto as Exhibit
99.1.
