For the reasons set forth in the
Proxy Statement, dated April 24, 2015, the Board of Directors unanimously recommends that you vote “FOR” the Election of all Directors (Item 1), “FOR” the Advisory Vote on Executive Compensation (Item 2),
“FOR” Approval of the Raytheon Company 2010 Stock Plan for IRC Section 162(m) purposes (Item 3), and “FOR” the Ratification of PricewaterhouseCoopers LLP as Raytheon’s Independent Auditors (Item 4). The
Board of Directors unanimously recommends that you vote “AGAINST” the shareholder proposal regarding lobbying activities (Item 5), “AGAINST” the shareholder proposal regarding political expenditures (Item 6), and
“AGAINST” the shareholder proposal regarding independent board chairman (Item 7).
