Item 5.02   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 5, 2015, the Board of Directors (the “Board”) of Regal Entertainment Group (the “Company”) appointed Amy Miles to serve as the Chairperson of the Board, effective immediately.  Ms. Miles has served as a director and the Chief Executive Officer of the Company since June 2009.  Ms. Miles succeeds Michael Campbell, who has served as the Chairman of the Board since May 2005.  Mr. Campbell will continue to serve as a director and, in recognition of his years of service to the Company as both the former Chairman of the Board and former Chief Executive Officer, the Board has bestowed upon Mr. Campbell the honorary title of Chairman Emeritus for so long as he remains an elected member of the Board.
