Dear Valued Circular Distribution Provider:

I’m sure you have heard the announcement of the pending acquisition of Rite Aid by Walgreens Boots Alliance (“Transaction”), and you likely want to know what this means for us and for you going forward.  Simply put, it is business as usual.

It’s important to keep in mind that this is the first step of a lengthy process.  The Transaction is subject to Rite Aid shareholder approval and customary regulatory approvals.  The transaction is not expected to close until the second half of calendar year 2016.    After the closing, Rite Aid will be a wholly owned subsidiary of Walgreens Boots Alliance, and is expected to continue operating under its own Rite Aid name into the near future.

Rite Aid is moving forward with business as usual.  For our media program, this means that we are working with the same goals and budgets established in order to deliver the best program in providing a unique and engaging customer experience.  Now more than ever, we are in need of flexibility with our commitments, and need to deliver the best performance we can with our circular program. We have discussed budgets, needs, and goals for 2015 going into 2016 with our media planning and placement agency, BlueSoho.  A representative from BlueSoho will be sharing with you the tentative plans and needs for the upcoming term and we ask that you engage in discussions with BlueSoho.

Our Rite Aid team remains focused on providing the same high-quality service and level of care to our customers that has made us a “go-to” destination for everyday health and wellness needs.  We are asking for your continued partnership to help us to achieve our goals.

Thank you in advance for your continued partnership.

Sincerely,

Jim Pilsner

There can be no assurance that the merger will be completed, or if it is completed, that it will close within the anticipated time period or that the expected benefits of the merger will be realized.
