Explanation of Responses:
( 1)  Sale pursuant to a Rule 10b5-1 trading plan executed by Mr. Skains on December 29, 2014
( 2)  Includes 58,828 equity units issued under a previously reported Retention Award and accrued dividends vesting according to the following schedule, provided Mr. Skains is an employee of the registrant on the vesting dates: 30% on December 15, 2015, and the remaining 50% on December 15, 2016. During the vesting period, dividend equivalents will accrue on the equity units and will be converted into additional equity units and vest according to the aforementioned vesting schedule. The vested awards are payable in the form of one share of registrant's common stock per equity unit.
