( 1)  The sale reported in this Form 4 was effected pursuant to a 10b5-1 trading plan adopted by Mr. Wilson on May 5, 2015.
( 2)  The price reported represents a weighted average sale price of shares sold in multiple transactions at prices ranging from $52.380 to $52.940. The Reporting Person hereby undertakes, upon request of the Staff of the U.S. Securities and Exchange Commission, the Issuer, or a security holder of the Issuer, to provide full information regarding the number of shares sold at each separate price.
