EXPLANATORY NOTE
: This Current Report on Form 8-K/A is being filed by Lockheed Martin Corporation solely
to replace an incorrect version of the press release that was filed as Exhibit 99.1 to the original Current Report on Form 8-K.
On August 22, 2016, Lockheed Martin Corporation issued a press release announcing
the final results of its exchange offer, which commenced on July 11, 2016 and expired on August 16, 2016, related to the transaction to separate its Information Systems & Global Solutions business segment and merge this business
with Leidos Holdings, Inc. in a Reverse Morris Trust transaction, which was completed on August 16, 2016. A copy of the press release is included as Exhibit 99.1 to this Current Report on Form 8-K and incorporated herein by reference.
