Explanation of Responses:
( 1)  The transaction reported occurred in connection with the merger of Kinder Morgan Management, LLC ("KMR") with a wholly owned subsidiary of Kinder Morgan, Inc. ("KMI"), effective November 26, 2014. On November 26, 2014, the last trading day for the KMR shares, the closing price of the KMR shares was $104.71 per share, and the closing price of KMI's common stock was $42.32 per share. Each KMR share was converted into the right to receive 2.4849 shares of KMI common stock.
