On June 15, 2016, the Board of Directors (the “Board”) of Kimberly-Clark Corporation (the “Corporation”) elected Christa S. Quarles, 42, as an independent member of the Board, and also appointed her to the Board’s Audit Committee, in each case effective immediately. In connection with the appointment of Ms. Quarles, the size of the Board will be increased from eleven to twelve members. Ms. Quarles is Chief Executive Officer of OpenTable, Inc., a subsidiary of The Priceline Group Inc. Ms. Quarles will participate in the outside director compensation programs described under “Director Compensation” in the Corporation’s proxy statement filed with the SEC on March 11, 2016.
