Item 1.02 Termination of a Material Definitive Agreement.
On April 29, 2016, Michigan Electric Transmission Company, LLC ("METC"), an indirect wholly-owned subsidiary of ITC Holdings Corp., repaid in full all outstanding loans, together with interest and all other amounts due in connection with such repayment, under the Term Loan Credit Agreement, dated as of December 8, 2015, among METC, the various financial institutions and other persons from time to time parties thereto, as the lenders, and Barclays Bank PLC, as the administrative agent.
