Reference is made to stock exchange notices dated 29 August 2016 and 20 September 2016 regarding a share capital increase through certain private placements with total gross proceeds of NOK 165.4 million (the "Private Placements") and a subsequent offering of up to NOK 13,333,334 (the "Subsequent Offering").

Hofseth BioCare ASA hereby publishes a prospectus related to the listing of 11,800,000 new shares issued in a private placement announced on 22 April 2016 and listing of 110,262,699 new shares issued in the private placements announced on 26 August 2016 (together the "New Shares") and offering up to 13,333,334 offer shares in the Subsequent Offering. The Norwegian Financial Supervisory Authority has reviewed and approved the prospectus.

The prospectus is attached to this stock exchange notice and will also be made available at the company's website, www.hofsethbiocare.no. The prospectus is also available at the company's headquarters at Molovegen 6, 6004 Ålesund, Norway.

It is expected that the New Shares will be registered in VPS and delivered to the investors today outside normal trading hours, and that the New Shares will be listed on Oslo Børs and assume regular trading from and including 3 October 2016.
