BETHESDA, Md., March 17, 2015 /PRNewswire/ -- Walker &
Dunlop, Inc. (the "Company") (NYSE: WD) announced today the sale of
8,246,534 shares of its common stock, par value $0.01 per share, held by funds managed by
affiliates of Fortress Investment Group LLC (NYSE: FIG)
("Fortress"). Morgan Stanley & Co. LLC will act as
the underwriter of the offering (the "Underwriter"). The Company
will not receive any proceeds from this offering.
As previously announced, the Company will repurchase from the
Underwriter 3,000,000 shares of its common stock being sold by the
Fortress funds concurrently with, and subject to, the closing of
the offering. The Company's per share purchase price for the
repurchased shares will be the same as the per share price payable
by the Underwriter to the Fortress funds. The repurchased shares
will no longer be outstanding following completion of the offering.
The Company expects to fund the share repurchase with cash on
hand.
The offering is scheduled to close on or about March 20, 2015, subject to customary closing
conditions. All shares are being offered pursuant to the prospectus
supplement and the accompanying prospectus filed with the
Securities and Exchange Commission.
The Underwriter is acting as the sole underwriter for the
offering. The Underwriter may offer the shares from time to time
for sale in one or more transactions on the NYSE, in the
over-the-counter market, through negotiated transactions or
otherwise at market prices prevailing at the time of sale, at
prices related to prevailing market prices or at negotiated

shelf registration statement, which was previously declared
