On March 25, 2011, Encore announced that it had received a proposal from Vanguard to acquire each of its outstanding common units in exchange for 0.72 units of Vanguard. This proposal values the units of Encore at $23.20 per unit, which offer virtually no premium over the pre-existing trading price for Encore units. This is funny. Encore Energy now uses ENP

They drill and they are a master limited partnership too, giving 90% back on existing production, that's why it's an 8% yield right now. But they're exploring, ha ha. Bought this one without looking on what or where or even knowing.

But drilling makes them a long time play, not like trusts that are shutout of survival.

DALLAS--(BUSINESS WIRE)-- Denbury Resources Inc. (NYSE: DNR) ("Denbury" or the "Company") announced that it has entered into an agreement to sell its ownership interests in Encore Energy Partners LP (NYSE: ENP) (“ENP”) to Vanguard Natural Resources, LLC (NYSE: VNR) (“Vanguard”) for $380 million. Denbury is selling its interest in the entity which owns 100% of ENP’s general partner’s interest and approximately 20.9 million ENP common units, or approximately 46% of ENP’s outstanding common units. Up to $80 million of the total consideration to be paid by Vanguard in the sale may be paid in Vanguard common units, at the option of Vanguard.

By virtue of Denbury’s ownership of 100% of ENP’s general partnership interest, Denbury consolidates 100% of ENP’s financial results with Denbury’s financial results, even though Denbury’s aggregate ownership represents only approximately 46% of ENP’s common ownership. Production attributable to ENP averaged 8,630 barrels of oil equivalent per day during the third quarter of 2010, and its proved reserves at December 31, 2009 were approximately 43.0 million barrels of oil equivalent (67% oil).

The transaction is expected to close on or before December 31, 2010. The Company plans to use the proceeds from the sale to repay outstanding bank debt and to fund any shortfall between its anticipated cash flows from operations and planned capital expenditures during 2011. ENPAR DESEL UNITS TO BE TESTED BY SINGAPORE UTILITIES INTERNATIONAL

Singapore Utilities International Pte. Ltd. (SUI) of Singapore is to test Enpar Technologies Inc.'s DesEL system for the recovery of water from brine concentrate that is produced by conventional membrane-type water treatment systems.

SUI is a wholly owned subsidiary of the public utilities board (PUB) of Singapore. Its mission is to support the functions of the PUB, using expertise in state-of-the-art water treatment technology.

SUI employs the expertise of its own Centre of Advanced Water Technology (CAWT) to develop and consider for commercialization, novel technologies that can assist its clients in supplying and recycling water for, or treating waste water from, industrial and manufacturing operations.

Capacitive deionization technology is currently being considered for recovery of water in the reject brines that are produced with membrane-based water treatment systems such as reverse osmosis. As much as 30 per cent of the treated water can end up in the waste stream.

Dr. Gene Shelp, president and chief executive officer for Enpar, stated: "This is an exciting opportunity for collaboration with a leader in recycling and reuse of process water. In contrast to conventional disposal of the brine, Enpar's DesEL system should recover greater than 90 per cent of the water. SUI has purchased two DesEL units for testing. Both parties understand that a successful test program shall lead to a business relationship that explores water opportunities in Singapore and other regions of Asia. A non-disclosure agreement between Enpar and SUI has been signed.

It is reported that recycled water will meet a third of its water supply needs by 2011. Historically, Singapore has imported much of its water from neighbouring Malaysia, but is currently moving toward self-sufficiency through the opening of a series of recycled water plants. Last month, Singapore opened its fourth and largest recycled water plant, which can produce up to 32 million gallons of recycled water daily. With the addition of the new plant, it is reported that Singapore now meets up to 15 per cent of its water supply needs with recycled water.

According to market reports the global industrial water recycling and reuse equipment market is expected to expand tremendously in the near future. With increasing water costs, as well as strict regulations regarding waste disposal and resource consumption, a convincing economic business case for industrial water recycling and reuse is likely to emerge.

Enpar Technologies Inc. is hiring Ram Narayanan as a market development consultant to the company.

Mr. Narayanan has over 31 years in the water industry and with waste water treatment technologies and equipment. He is presently a partner and executive vice-president in the Reservoir Fund, a New York-based company dedicated to investments in the water sector.

Prior to joining the Reservoir Fund he was vice-president of the water treatment division of Layne Christensen Co., with responsibility for integrated groundwater services. He also served as executive director of strategic planning for Aqua-Chem Inc., a Wisconsin-based company involved in thermal desalination and water purification.

Mr. Narayanan founded and successfully managed the growth of two industrial waste water and potable water treatment companies that were subsequently acquired by U.S. Filter and American Colloid. He gained his early experience as manager of project engineering and construction with Calgon Carbon Corp. and has a bachelor degree in chemical engineering from Madras University and a master's degree in civil engineering from New York University.

Management believes that Mr. Narayanan will play an important role in the overall marketing of the company's suite of state-of-the-art water treatment technologies.

Enpar announces that it has agreed to grant options to two consultants for a total of 300,000 options. The options are exercisable at a price of 25 cents per share for a period of up to two years. The grants are subject to acceptance by the TSX Venture Exchange.

SUCCESSFUL LABORATORY TESTING OF ARSENIC-CONTAMINATED WATER FROM ABANDONED MINE

Enpar Technologies Inc. has released the results from laboratory testing, under contract with the Department of Indian and Northern Development (DIAND), of the DesEL system. The technology is extremely effective in remediating arsenic-contaminated water from an abandoned mine in the Northwest Territories.

In the late 1990s, DIAND assumed ownership of several abandoned mines, some of which have issues related to arsenic in water.

Dr. Gene Shelp, president of Enpar Technologies, says that single-stage treatment removes 99.5 per cent of the arsenic, from a high of 2.6 parts per million to a low of 0.01 part per million. Two-stage treatment further reduces the arsenic to half that level.

Also, the DesEL system is highly effective in removing both As(III) and As(V), eliminating the requirement for oxidative pretreatment, and recovers up to 99 per cent of the water with a power requirement of only 0.7 kilowatt hour or approximately six cents per cubic metre of water treated.

Enpar anticipates that the project will proceed to phase II -- on-site pilot scale testing. A decision is expected in the immediate future. Shareholders will be appraised as subsequent events unfold.

The DIAND study is the third of its kind, and supports Enpar's contention that the DesEL system is cost-effective and superior to other methods for remediating arsenic-contaminated drinking water and waste water.

Enpar and its management clearly believe that the DesEL system will yield many arsenic-related contracts worldwide.

Enpar tests DesEL-24K unit at Bafokeng platinum mine

BAFOKENG PLATINUM MINE REQUESTS PROPOSAL FOR ONE MILLION LITRE PER DAY FULL-SCALE WATER TREATMENT PLANT FOLLOWING SUCCESSFUL ON-SITE TESTING OF DESEL-24K SYSTEM

Enpar Technologies Inc.'s subsidiary, Blue Print Technologies Pty., and the Centre for Scientific and Industrial Research's (CSIR) on-site testing of the DesEL-24K unit at the Bafokeng platinum mine in South Africa has been extremely successful.

The Bafokeng platinum mine has now requested a proposal for a full-scale DesEL treatment plant with a capacity of treating one million litres of water per day. In the design under consideration, the waste stream would be eliminated and an ammonium nitrate fertilizer generated for sale.

Dr. Gene Shelp, president of Enpar, stated, "This would be the first commercial DesEL installation for Enpar and should lead to numerous mine-related water treatment opportunities, especially given the ever-increasing stringency of water quality discharge guidelines."

Enpar's DesEL system is designed to remove dissolved inorganic substances such as arsenic, ammonia, nitrate, fluoride, cyanide, perchlorate, metals and hardness from drinking water and waste waters.

The system has been successfully tested in the CSIR laboratory on several industrial effluents provided by the Majuba power station, Vaal River gold mine, Grootvlei gold mine, navigation section of Landau colliery, Namakwa sands (heavy minerals) and Bafokeng platinum mine.

Enpar will keep its investors informed on a timely basis as to the status of the Bafokeng platinum mine proposal.

ENPAR ANNOUNCES NEGOTIATIONS FOR PRIVATE PLACEMENT

Enpar Technologies Inc. is completing negotiations with arm's-length parties for a private placement. Under the private placement agreement the company will receive up to $500,000 in new funds. The private placees will subscribe for 2.5 million units of Enpar. Each unit subscribed consists of one common share of the company and one share purchase warrant. The price of each common share is 20 cents and will be subjected to a statutory hold period. The share purchase warrants will entitle the holder to acquire one additional common share of Enpar at a price of 30 cents for a period of two years following the closing of the transaction. The company anticipates that the agreement will close shortly.

The company will pay a 10-per-cent finder's fee to White Knight Capital Corp.

AmmEL - Enpar is currently in preliminary discussions with a leading international water treatment services company about a strategic alliance to exploit Enpar's AmmEL system.

DesEL - In June, 2006, Enpar initially reported that it had entered into a mutual confidentiality agreement with a major American water company for the sole purpose of evaluating a possible business transaction relating to Enpar's DesEL technology.

Enpar Technologies Inc. has entered into a service contract with the Department of Indian and Northern Development (DIAND) to complete phase one laboratory testing of the DesEL system to remediate arsenic-contaminated water from an abandoned mine.

ExtrEL - Optimization of the ExtrEL leaching process is scheduled to begin in June, 2006, with completion expected three months later. These results will form the basis for design of a pilot unit for relatively large-scale testing.

MAJOR AMERICAN WATER COMPANY EVALUATES ENPAR'S DESEL SYSTEM FOR HOME MARKET

Enpar Technologies Inc. continues to attract the attention of some of the key players in the global water-treatment market. In May, 2006, Enpar entered into a mutual confidentiality agreement with a major American water company for the sole purpose of evaluating a possible business transaction relating to Enpar's DesEL technology as a replacement for conventional home water-treatment systems such as reverse osmosis units and water softeners.

Based on published information, the home market is currently reported to be $15-billion (U.S.) annually with the market predicted to reach approximately $45-billion by the year 2011.

Testing of Enpar's DesEL-400 unit has been under way during the past three weeks at the American company's facility. Enpar is extremely excited about this relationship as the American company recently reported that the initial performance of the system is impressive and the possibilities for the DesEL technology are exciting. Over the next five months, the American company will complete its technical evaluation of the technology, including scalability and long term viability, and develop a business case that will include that evaluation, as well as marketing and financial analysis of the pathway to market.

In summary, the American company informed Enpar that it has a positive feeling about Enpar's technology and the potential that a relationship could provide both companies. However, please note that there is no guarantee at this time that positive testing and a positive market and financial analysis will result in a business relationship.

The DesEL System is a proven alternative to conventional water-treatment systems for removing both dissolved contaminants such as arsenic, mercury and nitrate, and other dissolved ions from industrial waste water, process water and drinking water sources. As a home product the DesEL system would replace both the reverse osmosis unit and the water softener.

Expecting news on this soon, also who are they getting the tailings from? Who will they work with for a pilot plant?

The company plans to proceed through pilot testing to a commercial plant within the next 18 months.

Enpar contracted to remedy arsenic-contaminated water

ENPAR OBTAINS CONTRACT FOR REMEDIATION OF ARSENIC-CONTAMINATED WATER FROM ABANDONED MINE

Enpar Technologies Inc. has entered into a service contract with the Department of Indian and Northern Development (DIAND) to complete phase one laboratory testing of the DesEL system to remediate arsenic-contaminated water from an abandoned mine.

In the late 1990s, DIAND assumed ownership of several abandoned mines, some of which have issues related to arsenic in water. Enpar hopes to become the company of choice to treat all these sites.

Phase one will continue for two months and culminate in a report that describes the results and provides an overview of a full-scale water-treatment plant, as well as in a presentation to a technical advisory committee in Ottawa in early November.

Following a successful phase one, management anticipates that follow-up phase two on-site pilot testing will occur at a DIAND-owned mine site, and that a successful phase two will result in a commercial full-scale installation.

Enpar believes that its DesEL system is cost-effective and superior to any other known treatment for arsenic-contaminated water, and has the potential to yield many contracts for the remediation of arsenic-contaminated water at mine sites around the world.

As previously reported (see news in Stockwatch on Feb. 1, 2006), research conducted by Dr. Sofia Garrido of the Instituto Mexicano de Tecnologia del Agua (IMTA), a research arm of the Mexican federal government, demonstrated that the DesEL system is extremely effective for treating groundwater containing arsenic.

That success was confirmed in April, 2006, during an independent third party evaluation process conducted by Dr. F. Bilek of Grundwasserforschungsinstitut GmbH Dresden, of Dresden, Germany.

Dr. Bilek reported that the DesEL system reduces arsenic in surface waters from an initial concentration of 450 parts per billion to less than 10 parts per billion (low analytical detection limit), which corresponds to greater than 98-per-cent removal of arsenic. The continuing independent study is testing the effectiveness of the DesEL system to treat various waste waters.

ENPAR AWARDED UNITED STATES PATENT FOR ITS AMMONIA TREATMENT TECHNOLOGY

Enpar Technologies Inc. has received the latest in a series of anticipated patents for its AmmEL system. This United States patent is expected to be followed closely by a successful patent application in Canada.

Enpar's management believes that its AmmEL system is currently the best-known technology for the treatment of ammonia in municipal and industrial waste waters. Ammonia is a recognized toxin that is directly converted to environmentally friendly nitrogen gas by the AmmEL system. Management believes that the AmmEL system has worldwide applications in markets that represent billions of dollars annually.

The majority of competing biological technologies in Canada convert ammonia to nitrate, a human carcinogen, which is then dumped into freshwater systems, creating a potential health risk.

The current patent is for improvements made to the company's U.S. and Canadian patents that were awarded on July 4, 2000, and December, 2005, respectively.

Applications of the technology

The improvements broaden the applications of the technology, which now include treatment of solutions resulting from dewatering of sludge or biosolids and containing extremely high levels of ammonia (500 to 1,500 parts per million), as well as tertiary treatment of solutions containing relatively low levels of ammonia (10 to 50 parts per million).

The AmmEL-HC system

The handling of sludge produced from municipal waste water treatment represents a major challenge for all levels of government. To develop a biosolid product that is free of environmental concerns, and can either be applied directly to the land or burned as an energy source, water must be removed from the sludge and the accompanying toxic levels of ammonia should be treated.

The AmmEL-HC system enables municipalities to achieve year-round compliance with government-mandated environmental standards and regulations.

The AmmEL-LC system

The alternative design, the AmmEL-LC system, is effective as a final treatment step before discharge to the environment of waters containing relatively low levels of ammonia that still exceed the recommended environmental guideline. This design can be directly applied to conventional waste water treatment facilities as well as lagoon-type waste water treatment facilities. Lagoon facilities are generally incapable of properly treating ammonia and subsequently release nitrate into receiving water bodies. The AmmEL-LC system has been successfully tested at the city of Guelph waste water treatment facility and at the Regional Municipality of Niagara's Garner Rd. biosolids handling site.

Management believes that the AmmEL-LC system has application to the approximately 1,000 lagoon facilities found in Canada alone. Similar numerous opportunities are known to exist globally. In northern regions, lagoons appear to be the system of choice, and the effects of nitrate pollution can be long lived. However, Enpar's AmmEL-LC system remains highly effective even under near-freezing conditions.

Enpar is currently in preliminary discussions with a leading international water treatment services company about a strategic alliance to exploit Enpar's AmmEL system. Shareholders will be kept informed of future developments on a timely basis.

ENPAR RECEIVES DRAFT LETTER OF INTENT RELATING TO ITS DESEL PRODUCTS

Enpar Technologies Inc. has received a draft letter of intent from a substantial U.S.-based company that is engaged in the water products industry.

Enpar cautions that there is no certainty that the draft letter of intent will result in a definitive agreement between the parties and is not at liberty to disclose the name of the U.S.-based company.

Enpar and its board are considering the draft letter of intent and will keep shareholders informed on a timely basis as to the disposition of the matter.

Enpar and its management are simply trying to keep its shareholders informed about what could be classified or described as a material event that could affect the value of their holdings.

This news should not be construed as a recommendation to purchase or sell shares of Enpar Technologies.

In June, 2006, Enpar initially reported that it had entered into a mutual confidentiality agreement with a major American water company for the sole purpose of evaluating a possible business transaction relating to Enpar's DesEL technology.

The company continues to have continuing negotiations with other major companies in the water products industry.

EXTREL REPRESENTS ECONOMIC SOLUTION FOR NICKEL RECOVERY FROM MINE TAILINGS

Enpar Technologies Inc.'s additional testing of its ExtrEL leaching technology conducted on nickel mine tailings during the past four months has confirmed its earlier findings. The testing resulted in nickel recovery ranging from 58 per cent to 77 per cent. The company is extremely excited that it can now duplicate the results on demand.

Enpar initially reported in December that leaching of up to 77 per cent of the nickel contained in samples of nickel mine tailings grading up to 1.2 per cent Ni was obtained while employing its ExtrEL technology.

Optimization of the ExtrEL leaching process is scheduled to begin in June, 2006, with completion expected three months later. These results will form the basis for design of a pilot unit for relatively large-scale testing.

Based on testing results to date, the predominant operating cost is power, which at 38 cents per kilogram of nickel metal recovered is considered to be quite low.

The company plans to proceed through pilot testing to a commercial plant within the next 18 months. Preliminary cost modelling suggests that the capital cost of the equipment would be recovered within one to 1.5 years. However, the company cautions that additional testing is required before firm conclusions can be made about the potential commercialization of this process.

The ability to recover nickel from what is currently perceived as a waste material represents an enormous financial opportunity for Enpar, its shareholders and the mining industry.

In addition, the ExtrEL leaching technology may become a primary hydrometallurgical treatment method for the traditional concentrate from the mill floatation circuit.

Once proven on a commercial scale, the ExtrEL leaching technology could potentially be used as an alternative to conventional smelting facilities which require considerable capital and represent major environmental concerns.

This would enable both large and small mining companies to process the ore concentrate on-site and ship metal for refining, instead of shipping ore for primary processing.

Opportunities for Enpar

According to published information, the company estimates that there are hundreds of millions of tonnes of mill sulphide tailings containing potentially economic grades of nickel in Australia, Canada, Russia and several African nations.

For example, at the Leinster, Kambalda and Mt. Keith mines in Western Australia, there is reportedly a resource totalling 162.7 million tonnes of tailings, containing approximately 500,000 tonnes of nickel metal. These sulphide tailings are apparently similar in mineralogy to those tested by Enpar, making them ideal for treatment using the ExtrEL leaching technology.

Given today's nickel price of $20.81 (U.S.) per kilogram, the in situ value of the nickel sulphide tailings at these sites is estimated at greater than $11-billion (U.S.). Furthermore, it is estimated that an additional 522,000 tonnes of nickel will be discarded as nickel sulphide tailings throughout the remaining life at the referenced sites.

Using Enpar's ExtrEL leaching technology, the recoverable nickel from the tailings at the aforementioned sites could potentially reach 401,400 tonnes of nickel metal with a market value of approximately $8.4-billion (U.S.).
