OVERSEAS REGULATORY ANNOUNCEMENT

 

ANNOUNCEMENT ON APPROVAL FROM THE CSRC FOR THE
NON-PUBLIC ISSUANCE OF A SHARES

 

The Company and all members of the Board warrant that the information set out in this announcement is true, accurate and complete, and accept joint responsibility for any false information or misleading statements contained in, or material omissions from, this announcement.

  

On 8 January 2016, China Eastern Airlines Corporation Limited (the “Company”) received the “Approval for the Non-Public Issuance of A Shares by China Eastern Airlines Corporation Limited” (Zheng Jian Xu Ke [2016] No. 8) issued by China Securities Regulatory Commission (“CSRC”). The approval from CSRC on the application of non-public issuance of A Shares of the Company (the “Issuance”) is set out as follows:

 

1.

The Company is approved to issue not more than 2,329,192,546 A Shares by way of nonpublic issuance;

 

2.

The Issuance shall be implemented strictly in accordance with the application documents submitted to the CSRC;

 

3.

The approval would be valid for 6 months from the date of approval of issuance;

 

4.

From the date of approval of issuance to the completion of the Issuance, should there be any material events of the Company, it shall report to the CSRC promptly and proceed in accordance with the relevant provisions.

 

The Company will actively proceed with the relevant procedures for the non-public issuance of A Shares of the Company and fulfill its information disclosure obligation in a timely manner.
