ANNOUNCEMENT ON THE UNDERTAKINGS

BY THE CONTROLLING SHAREHOLDER

 

This announcement is made by the Company pursuant to the requirements under Part XIVA of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong) and the disclosure requirements under Rule 13.09(2)(a) and Rule 13.10B of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited.   The Company and all members of the Board warrant that the information set out in this announcement is true, accurate and complete, and accept joint responsibility for any false information or misleading statements contained in, or material omissions from, this announcement.

 

On 10 July 2015, China Eastern Airlines Corporation Limited (the “Company”) received an undertaking letter from 中國東方航空集團公司 (China Eastern Air Holding Company) (“CEA Holding”), the controlling shareholder of the Company, details of which are set out as follows:

 

Given the recent unusual fluctuation of the stock market and based on its confidence in development prospects of the Company as well as the recognition of the values of the Company, CEA Holding, the controlling shareholder of the Company, makes the following undertakings so as to facilitate the sustainable, steady and healthy development of the Company and safeguard the interests of the investors:

 

1.

It will not reduce its shareholding in the Company during the unusual fluctuation of the stock market;

 

2.

It may take measures to increase its shareholding in the Company at appropriate time according to market conditions as permitted by relevant laws and regulations; and

 

 

3.

It will continuously extend its support to the operational development of the Company, with an aim to assist the Company in improving its operational results and maximizing investor returns of the Company.
