Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Effective March 3, 2015, David A. Beaver, 39, was promoted to, and replaced Kevin C. Clothier as, Vice President and Corporate Controller of Crown Holdings, Inc. (the “Company”). Mr. Beaver previously served as Assistant Corporate Controller after joining the Company from PricewaterhouseCoopers in 2010. Mr. Clothier will continue with the Company as its Treasurer.
There are no arrangements or understandings between Mr. Beaver and any other person pursuant to which he was selected as an officer. Mr. Beaver does not have any familial relationship with any director or other executive officer of the Company or any person nominated or chosen by the Company to become a director or executive officer, and there are no transactions in which Mr. Beaver has an interest requiring disclosure under Item 404(a) of Regulation S-K.
