ITEM 5.02 – DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS

On June 20, 2016, Crown Castle International Corp. (“Crown Castle”) was notified by Rob A. Fisher, its Vice President and Controller and principal accounting officer, that he desires to retire following more than 14 years with Crown Castle. Mr. Fisher has agreed to remain in his current position until a successor has been appointed, and he has further agreed to remain with Crown Castle as an employee through March 31, 2017 in order to assist Crown Castle on various matters, including the preparation and filing of Crown Castle’s Form 10-K for the year ending December 31, 2016. Crown Castle is conducting a search for the principal accounting officer to succeed Mr. Fisher.
