Explanation of Responses:
( 1)  On February 25, 2015, Mr. Smolik was elected as a non-employee director of the Company and received a grant, prorated for his Board service during the 2014 - 2015 Board year, of 1,028 deferred stock units (DSUs) under the Company's Equity Incentive Plan. Each DSU represents a right to receive one share of Cameron common stock at the end of the deferral period. Pursuant to the terms of the Award Agreement, the grant vests on May 17, 2015 and is deferred until May 17, 2017.
