Item 1.01 Entry into a Material Definitive Agreement

Sotheby's (the "Company") and certain of its wholly-owned subsidiaries are parties to a credit agreement with an international syndicate of lenders led by General Electric Capital Corporation (the “Lenders”), which provides for separate dedicated revolving credit facilities for its Agency segment (the “Agency Credit Agreement”) and its Finance segment (the “Finance Credit Agreement”) (collectively, the “Credit Agreements”). The Credit Agreements contain certain customary affirmative and negative covenants including, but not limited to, a $600 million limitation on net outstanding auction guarantees (i.e., auction guarantees less the impact of related risk and reward sharing arrangements). On September 16, 2015, the Lenders agreed to temporarily increase this limit to $800 million until February 29, 2016.
