Item 8.01    Other Events.

On February 10, 2017, American Tower Corporation (the “Company”) issued a press release (the “Press Release”) announcing that it had completed its previously announced redemption of all of its outstanding 7.25% senior unsecured notes due 2019 (the “Notes”). In accordance with the redemption provisions of the Notes and the Indenture dated as of June 10, 2009 between the Company and the Bank of New York Mellon Trust Company, N.A., as trustee, the Notes were redeemed at a price equal to approximately 112.0854% of the principal amount. In addition, the Company paid accrued and unpaid interest on the Notes up to, but excluding, February 10, 2017.

A copy of the Press Release announcing the redemption of the Notes is filed herewith as Exhibit 99.1 and incorporated herein by reference.
