In conformity with the Transparency Directive's transitional provision 6 we would like to

Spirax-Sarco Engineering plc's capital consist of 77,197,404 ordinary shares with voting
rights. Spirax-Sarco Engineering plc holds
697,339 shares in Treasury.
Therefore, the total number of voting rights in Spirax-Sarco Engineering plc is

The above figure (76,500,065) may be used by shareholders as the denominator for the
calculations by which they will determine if they
