Topps Tiles plc (the "Company")

The Company announces that:-

Issued Share Capital

Its total issued share capital as at 18 August 2016 consists of 196,060,278 ordinary shares of 3.33 pence each in the Company ("Ordinary Shares") with one voting right per share. The Company does not hold any Ordinary Shares in treasury.

EBT Share Purchase

The Topps Tiles Employee Benefit Trust ("EBT") has acquired 1,135,415 Ordinary Shares in the open market at an average price of 119.449 pence per share. The EBT now holds 4,038,495 Ordinary Shares representing 2.06% of the issued share capital of the Company.

Total Voting Rights

The EBT holds shares for the benefit of the Company's employees and in particular for the satisfying of awards made under the Company's various share schemes.

The EBT has waived its right to exercise its voting rights and to receive dividends in respect of 4,038,495 Ordinary Shares. Accordingly, the total number of voting rights in the Company will be 192,021,783. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
