Statement regarding share price movement
The Board of Braemore (AIM: BRR, JSE: BRE) notes the recent volatility in the
share price of the Company and confirms that it is in discussions with a third
party which may or may not lead to an offer being made for the Company. At this
stage there is no certainty that an offer will be made for the Company or of the
terms on which any offer might be made.
City Code on Takeovers and Mergers
The Company has been advised by the Panel on Takeovers and Mergers that it did
not consider the Company to have its place of central management and control in
the United Kingdom and on that basis the Company was not subject to the City
Code on Takeovers and Mergers ("the Code") and shareholders would not be
afforded any protections under the Code.
The Company is subject to the provisions of the South African Securities
Regulation Code on Takeovers and Mergers and the Rules of the Securities
Regulation Panel ("SRP").
