(1)  Represents the right to receive up to 600,000 shares of common stock on October 28, 2020 ("vesting date") subject to continuous employment through the vesting date and the satisfaction of performance criteria based on the achievement of certain volume-weighted, 20-day average stock price targets for the Company's common stock within certain time periods.
